When must a control balance sheet be prepared?
The board of directors must immediately prepare a control balance sheet when there is reason to assume that the company's equity, calculated according to the control balance sheet rules, is less than half of the registered share capital. The obligation can therefore arise before the capital deficiency is definitively established.
A control balance sheet must also be prepared when an attempt to levy execution shows that the company lacks assets to fully pay the claim for which execution was sought.
How the new Excel template assists you
- separate fields for accounting values and KBR adjustments,
- automatic calculation of KBR values,
- automatic balance check,
- capital test against half of the registered share capital during the first review,
- capital test against the full registered share capital before the second general meeting for liquidation purposes,
- separate specification of each KBR adjustment and its supporting documentation,
- handling of the equity portion and deferred tax liability for untaxed reserves,
- signature page for the board,
- source sheet with relevant official legal sources.
KBR adjustments – not an ordinary balance sheet
A control balance sheet is based on the company's ordinary accounts, but specific adjustments can be made within the framework of the Swedish Companies Act. For instance, under certain conditions, assets may be recognized at higher values, provisions and liabilities at lower values, assets valued at net realizable value, and untaxed reserves divided between equity and deferred tax liability.
The template therefore has a separate sheet to document which item is being adjusted, the amount, the valuation basis, the justification, and the underlying documentation. The formulas serve as a work aid – the board is responsible for ensuring that each valuation is correct and consistent with generally accepted accounting principles.
If shareholders consider injecting capital to address a loss of equity, that can improve the company's financial position but does not replace the statutory control balance sheet. Read our guide to shareholder contributions during capital deficiency, accounting and tax. Continue to follow Chapter 25 of the Swedish Companies Act, including any required shareholders' meetings.
The first and second general meeting for liquidation purposes
If the control balance sheet shows that equity is less than half of the registered share capital, the board must convene the first general meeting for liquidation purposes as soon as possible.
If the capital is not fully restored and the meeting does not resolve to liquidate, the control balance sheet process continues. A second general meeting for liquidation purposes must normally be held within eight months. Prior to the second meeting, full restoration to at least the registered share capital is required for the company to exit the control balance sheet process without liquidation.
Important regarding the "without auditor" product
This version is intended for Swedish limited companies that do not have an appointed auditor. If the company has an auditor, the auditor must review the control balance sheet. The product must not be used as a means to bypass a mandatory auditor review.
Swedish + English in the same package
The Swedish and English Excel templates have a corresponding structure. The English version is a language version under Swedish law – it is not intended as a template according to British, American, or other foreign corporate law.
Detailed user guide included
The guide walks you step-by-step through when the board must act, how to fill in each sheet in the workbook, how to document KBR adjustments, the general meetings for liquidation purposes, full restoration of share capital, personal payment liability, a practical checklist, and FAQs.
Who is this template for?

Frequently asked questions
Do I need an auditor to use the template?
The product is developed for companies without an appointed auditor. If the company has an auditor, they must review the control balance sheet.
Does the Excel template automatically determine if the company must be liquidated?
No. The capital test is a control and calculation aid. The board must ensure that accounting, valuations, deadlines, and other legal requirements are correct.
Can I use the English version in a Swedish company?
Yes. The English version is the same type of working document in English but explicitly adapted to Swedish law.
Can the template be used for the second general meeting for liquidation purposes?
Yes. On the START sheet, you can select the control stage, and the capital test will then switch from half the share capital to the requirement of at least the full registered share capital.
The template package is a practical document and calculation aid and does not replace individual legal or accounting advice. In cases of complex valuations, unclear timing of capital deficiency, or a risk of missing deadlines, a qualified advisor should be consulted.
Guides for the control balance sheet
- Calculate equity, the half-capital threshold, and potential KBR adjustments
- When must the board immediately prepare a control balance sheet?
- Step-by-step: preparing a control balance sheet
This variant is intended for limited companies without an appointed auditor. If the company has an auditor, please use the template adapted for control balance sheets with an auditor. Regardless of the document format, the board must assess the legal requirements regarding KBR and the general meeting for liquidation purposes.
Intended for limited companies – not housing associations (BRF)
This document follows the procedure for a control balance sheet in a limited company that does not have an appointed auditor. The board's capital assessment according to Chapter 25 of the Swedish Companies Act differs from the ongoing financial monitoring in a housing association (BRF).
Are you a board member of a housing association and need a financial analysis of liquidity, balance, key ratios, and risks? Please choose the financial control for housing associations (BRF) instead. For a limited company with an appointed auditor, the KBR template with auditor documentation is available.
Control balance sheet – example and the two capital thresholds
Example for a Swedish limited company with SEK 50,000 in registered share capital: if the ordinary accounts show equity of SEK 20,000, the board has reason to suspect that equity is below half of the registered share capital (SEK 25,000) and must prepare a control balance sheet without delay.
- First check: if equity calculated in the actual control balance sheet after legally permitted, documented adjustments is below SEK 25,000, the board must promptly convene the first control meeting.
- Second check: if the company continues, a second control meeting must normally be held within eight months of the first. At this stage the control balance sheet must show at least the full registered share capital – SEK 50,000 in the example, not just SEK 25,000.
This is a simplified example, not a completed control balance sheet. Accounting equity of SEK 20,000 does not automatically determine the result after permitted adjustments. The board remains responsible and an appointed company auditor must review the control balance sheet.
