About this template
Non-compete clause in employment – contract annex, reasonableness assessment, and Excel register
Do you need to document an individually defined non-compete restriction after the end of employment? This template package helps employers, HR, and advisors to move from a concrete assessment of the need for protection to contract proposals, information for the employee, notification upon termination, and separated financial follow-up. The template must not be used as an automatic approval of the validity of non-compete clauses.

What is a non-compete clause in an employment contract?
It is a contractual term that restricts the possibility of competing with the former employer after the end of employment. Section 38 of the Contracts Act implies that the employee is not bound by a prohibition to the extent that it extends further than is reasonable. The individual's professional opportunities, the actual need for protection, the scope of the agreement, and applicable collective agreements must be checked. A confidentiality undertaking and a non-compete clause are not the same thing.
Excel register with nine practical tabs
Overview, Clauses, Need for Protection, Negotiations, Termination, Compensation, Checks, Documentation, and Read me. The register contains status fields, data validation, and summaries for registered clauses, completed assessments, and documented compensation amounts. A simple income difference can be calculated when relevant input data has actually been entered, but it is not a calculation of legally decided compensation. A claimed amount is not a decided one; a noted assessment does not make the clause valid.
How to use the non-compete clause templates
- Inventory: Identify the position, actual protectable trade secrets, and the task that needs to be protected.
- Check legal basis: Review Section 38 of the Contracts Act and whether the 2015 agreement between the Confederation of Swedish Enterprise and PTK or another collective agreement is applicable.
- Test alternatives: Document whether confidentiality agreements, access control, or narrower protection provide sufficient results.
- Design terms: Specify business activity, duration, exceptions, any compensation mechanisms, and individual justification.
- Inform: Document questions, negotiations, and any revisions in separate minutes.
- Re-evaluate upon termination: Check grounds for termination, contractual exceptions, the actual remaining need for protection, and notification.
- Follow up: Register documentation, claims, separate decisions, and actual payments in Excel.
Important legal limitations
The 2015 SN/PTK agreement does not automatically apply to all employees. Where it is applicable, it includes, among other things, special rules on usage, binding duration, compensation, and situations where a clause cannot be enforced. In case AD 2026 no. 23, the Labour Court addressed the difference between a non-compete clause and a non-solicitation of customers clause in relation to this agreement. In case of doubt or significant non-compete restrictions, individual employment law advice should be obtained.
Supplementary templates and guides
- Confidentiality undertaking for employees – another, often less intrusive protective measure.
- Agreement on termination of employment – when employment is to be terminated through a specific agreement.
- Guide on probationary employment contracts and central employment terms.
- More document templates for HR and labour law.
Frequently asked questions
Can the employer prohibit all work for competitors?
Not in general without assessment. According to Section 38 of the Contracts Act, the restriction may not be unreasonably far-reaching; collective agreements may also limit when and how it may be used.
Does the non-compete clause apply automatically after notice due to redundancy?
No, automatic application should never be assumed. Applicable collective agreement and grounds for termination must be checked. The 2015 SN/PTK agreement contains specific exceptions for certain termination situations.
What is the difference between confidentiality and a non-compete prohibition?
Confidentiality relates to, among other things, the protection of information. A non-compete prohibition can restrict the actual possibility of working in a competing business and therefore requires a specific reasonableness assessment.
Does Excel automatically calculate what the employer must pay?
No. Excel shows entered data, an administrative income difference, and separate columns for claimed, decided, and paid amounts. Current compensation liability must be assessed manually.
Are the templates in English?
The five main templates are in Swedish. The package also includes a Swedish guide and an English User Guide that explains how the Swedish files are used.
