Constitutive meeting of a non-profit association – agenda, statutes, and board

Short answer: A non-profit association is effectively formed when the members decide to establish the association, adopt bylaws, and elect a board of directors. The minutes from the constitutive meeting are a key document and are required by, among others, the Swedish Tax Agency when applying for an organization number.

What should the meeting decide?

  • that the association is to be formed
  • the name of the association
  • that bylaws are adopted
  • election of a board of directors
  • possibly the election of an auditor
  • possibly the election of a nomination committee
  • authorized signatories or a decision on who will later decide on them

What should the minutes show?

The Swedish Tax Agency states that the minutes from the constitutive meeting must show that the association has been formed and has adopted a name, that bylaws have been adopted, that a board has been elected, and who is included in the board.

Bylaws

The bylaws should, among other things, regulate the association's name and purpose, membership, fees, composition of the board, financial year, annual meeting, how decisions are made, and how the association is dissolved.

Organization number

When applying for an organization number, the Swedish Tax Agency generally requires bylaws, minutes from the constitutive meeting, and minutes showing who the authorized signatories are.

Common mistakes

  • the bylaws are not explicitly adopted in the minutes
  • the individuals and roles of the board are not specified
  • the authorization to sign for the association is left unregulated
  • the meeting lacks a clear agenda
  • the minutes are not signed according to the order decided by the meeting
