English legal document templates under Swedish law – a guide

Short answer: In many situations, an agreement or a power of attorney can be written in English and still be intended for use under Swedish law. However, language alone does not determine the validity of a document. Content, authority, formal requirements, the intended recipient, and any choice of law must each be verified individually. As a general rule, Swedish authorities and courts operate in Swedish.

This guide helps you choose the right English document template at Mallbutiken, understand when a Swedish version might be needed, and avoid common misunderstandings when documents are used internationally.

There is no general rule that all private law agreements must be written in Swedish. However, the document must meet the legal requirements applicable to that specific instrument. For example, if a document is used to represent someone else, the person signing must have the proper authority. The Contracts Act (1915:218) contains provisions regarding agreements and powers of attorney, among other things.

English language is not the same as English law. A document in English can be designed for Swedish law. Terms such as Power of Attorney, Lease Agreement, and Gift Deed describe the type of document but do not replace the need to verify which Swedish rules are applicable. A choice of law or jurisdiction clause may require specific scrutiny, particularly in cross-border situations.

Why might the recipient still require a Swedish version?

According to Section 10 of the Language Act (2009:600), the language in courts and administrative authorities is Swedish, with specific exceptions and rules regarding interpretation and translation. In case Ö 1382-21, the Supreme Court addressed when a document in English needs to be submitted or translated into Swedish. The court assesses the need on a case-by-case basis; therefore, one cannot assume that an English document will always be accepted without translation.

Checklist before using an English template

  1. Check the actual language of the document. Is the main template itself in English, or is it just the user guide that has been translated?
  2. Choose the right legal system. Is the template explicitly based on Swedish law, and do you need to assess if it works in another country?
  3. Identify the parties. Fill in correct legal names, company information, roles, dates, and any organization numbers.
  4. Check formal requirements. Certain legal acts require specific formatting, signing, witnessing, or registration.
  5. Verify authority. For powers of attorney and company agreements, the signatory must have the right to represent the stated party.
  6. Ask the recipient in advance. A court, bank, authority, or foreign institution may require a Swedish translation, supplementary documents, or a certified copy.
  7. Distinguish between translation and certification. A translation reproduces the text in another language. An Apostille concerns the certification of a signature or authority according to the applicable procedure – not that the content is automatically legally correct.
  8. Save the correct version. Specify which language version the parties intend to prevail in the event of interpretation differences if multiple versions are prepared.

Is an Apostille or a Notary Public needed?

Not for all agreements. It depends on the document type and the recipient's requirements. The County Administrative Board's information on Notaries Public covers the certification of signatures, copies, and Apostilles, among other things. Check the actual requirements of the receiving organization or state before ordering such services.

Frequently asked questions about English document templates

Must an agreement under Swedish law be written in Swedish?

Not generally for all private agreements. The requirements depend on the legal act, formal rules, and the situation of use. Authority and court proceedings have specific language rules.

Can I submit an English power of attorney to a Swedish authority?

Ask the authority whether the document's language, content, and proof of authority are accepted. If necessary, a Swedish translation may be requested. For a power of attorney, it is also important that the grantor, the attorney-in-fact, and the scope of authority are clearly stated.

Does English law apply just because the agreement has an English name?

No. The language and the title of the document do not automatically determine which law governs the relationship. A document titled Lease Agreement, for example, may be intended for use under Swedish tenancy law.

Can I use a Swedish document template and just translate the text?

A translation can be practical but must not obscure or alter legally significant differences. Check for established terminology, formal requirements, registration needs, and recipient requirements. For important cross-border agreements, a qualified lawyer or professional translator should assess the final version.

Are there English templates in Word, PDF, and Excel?

Yes, but file formats and languages vary by product. Read what is included in the product download. A package with an English guide is not necessarily a package where all document templates are in English.
