About this template
Annual general meeting for housing cooperatives – document package for notice, agenda, register of voters, meeting minutes and follow-up on the annual report. Is your housing cooperative holding its ordinary annual general meeting? Here, the board, property manager and minute-taker will find editable documents with clear control fields for the notice, the annual documents presented, the register of voters, the decisions actually made and the subsequent submission of the annual report to the Swedish Companies Registration Office.
Short answer: Under Swedish law, an ordinary general meeting of a cooperative must be held within six months of the end of the financial year. The notice is normally issued at least six and no later than four weeks before the meeting, but the cooperative’s bylaws may allow notice to be issued as late as two weeks before. The annual report and auditor’s report must be made available at least two weeks before the meeting. These time limits, the cooperative’s special rules on proxies and voting rights, and the actual majority must be checked manually; the package’s Excel register does not make legal validity determinations.

Who is the template package intended for?
For the ordinary annual general meeting of a Swedish housing cooperative, especially boards, meeting chairs, minute-takers and property managers. It is a complete workflow for the annual meeting, not a general company meeting and not a separate extraordinary meeting. A separate product is available for the cooperative’s extraordinary general meetings. Use the proxy form for housing cooperatives for a separate meeting proxy, and the cooperative’s election committee templates for candidate nominations before the meeting.

The Excel tool – nine functional tabs
The workbook contains Meetings, Notices, Documents, Matters, Attendance, Decisions, Follow-up, Overview and Read Me. The seven registers each contain 200 empty input rows and control formulas that highlight missing meeting dates, dispatch dates, supporting documentation and adjustments. There are 1,437 saved formula cells in total. No formula certifies that a notice has been sent in legal time, that a member is entitled to vote or that a decision has received the prescribed majority.
How to prepare and conclude the cooperative’s annual general meeting
- Review the bylaws and calendar: note the end of the financial year, the latest date for the annual general meeting and any special bylaw rules.
- Send the correct notice: state the time, location/digital instructions and the matters to be considered. Check both the time period and method of distribution.
- Make the annual report available: check that the signed annual report and auditor’s report are available to members in accordance with the requirements of the law.
- Check attendance: verify the register of voters as needed, as well as proxies, assistants and a joint vote for co-owners of the same housing cooperative.
- Record the decisions actually made: including the adoption of the income statement and balance sheet, appropriation of results, discharge of liability and bylaw-compliant elections. Check each special majority requirement.
- Adjust and archive: the minute-taker’s signature, the chairperson’s adjustment if otherwise, and at least one adjuster elected at the meeting. Make the minutes available within the prescribed time.
- Follow up with the Swedish Companies Registration Office: submit the annual report with the certificate of adoption and auditor’s report when the cooperative is subject to the submission requirement. Document the actual receipt by the authority.
Legal issues for ordinary general meetings of housing cooperatives
When must the housing cooperative’s annual general meeting be held?
The Swedish Cooperative Societies Act (2018:672), Chapter 6, Section 9, states that the ordinary annual general meeting must be held within six months after the end of the financial year. According to Chapter 6, Section 10, the meeting must, among other things, decide on the adoption of the annual report, appropriation of profit/loss and discharge of liability. Elections and remuneration also follow the bylaws.
How far in advance of the annual general meeting must the notice be sent?
According to Chapter 6, Section 17 of the Swedish Cooperative Societies Act, the general rule is at least six and no later than four weeks before. The bylaws may allow a shorter notice period, but no later than two weeks. The method of notice and mandatory information follow, among other things, Chapter 6, Sections 21–22. Special decisions may require additional measures, such as special information or multiple meeting decisions.
When must the annual report and auditor’s report be available?
According to Chapter 6, Section 23 of the Swedish Cooperative Societies Act, the annual report and auditor’s report must be made available to members for at least two weeks immediately before the meeting. Requested copies must be handled in accordance with the law. Availability, signatures and dates are documented separately.
How do voting rights and proxies work at a housing cooperative’s annual general meeting?
The Swedish Housing Cooperative Act (1991:614), Chapter 9, Section 14, contains special rules: several members who jointly own the same housing cooperative have only one joint vote. As a general rule, a spouse/cohabitant or another member may act as a proxy, subject to bylaw deviations and special rules for legal entities. Normally, no one may represent more than one member without support from the bylaws. The Swedish Cooperative Societies Act’s general rule on postal voting in Chapter 6, Section 6 does not apply to housing cooperatives.
What must be included in the meeting minutes?
According to Chapter 6, Sections 39–40 of the Swedish Cooperative Societies Act, the decisions actually made and the voting results must be recorded. The register of voters must be included in the minutes or attached if one has been drawn up. The minutes must be signed and adjusted in accordance with the law and be made available to members no later than three weeks after the meeting.
When must the annual report be submitted to the Swedish Companies Registration Office?
According to the Swedish Companies Registration Office, the obligation applies to housing cooperatives with a financial year beginning on or after 1 January 2025. The annual report with the certificate of adoption and auditor’s report must be submitted within one month after adoption at the annual general meeting; to avoid a late fee, the documents must have been received no later than seven months after the end of the financial year, according to the authority’s calendar-specific rules. The template contains no automatic legal expiry dates.
Further reading: Read the guide on cooperative minutes regarding the documentation of meeting decisions, register of voters and minutes. For housing cooperatives, the special rules of the Swedish Housing Cooperative Act and the cooperative’s bylaws must also be checked.
Frequently asked questions about housing cooperative annual general meetings
Are an annual general meeting and an extraordinary general meeting the same thing?
No. The ordinary annual general meeting covers annual reporting and liability matters with special notice requirements. An extraordinary meeting is held for specified matters and follows different time limits and any special requirements.
Can a housing cooperative hold a fully digital annual general meeting?
Only if the requirements of the law and bylaws are met. Check the meeting format and that the notice describes how to participate and vote.
Must both the annual report and auditor’s report be available before the meeting?
Yes, as a general rule, these documents must be made available at least two weeks before the annual general meeting. The template records actual dates but does not automatically approve them.
Do two co-owners of the same housing cooperative have two votes?
No. They have one joint vote according to the special rule in the Swedish Housing Cooperative Act.
Can we decide on a bylaw amendment with a simple majority?
Do not assume so. Bylaw amendments, changes to contributions, and certain material changes require special regulations, conditions and sometimes review by the authority. Check the law and bylaws before making a decision.
Is the Excel register an automated legal approval?
No. It counts registered entries and shows administrative completion requirements, not legal validity, voting eligibility, majority or correct deadlines.
Are English legal documents or interactive PDF forms included?
No. The five working documents are in Swedish. English instructions are available in the English User Guide. The PDF files are standard searchable PDF documents.
