When is an amendment agreement used?

When the same two companies want to change, for example, a schedule, a defined description of services, a payment point or a specific agreement clause, but leave the rest of an existing agreement in force. State the exact title, date and version number of the main agreement, print the previous wording and the agreed new wording, and check how previous appendices are affected. If the contracting parties need to be replaced, a separate assessment of the change of parties and consents is required.

How to use the package

1. Check the main agreement: identify the contracting parties, version, current amendment clause and authorized signatory.
2. Describe the amendment: state exactly which clause is replaced, added or removed. Do not leave contradictory options remaining.
3. Check consequences: handle prices, appendices, schedules and previous amendments in relevant appendices.
4. Approve correctly: follow applicable formal requirements and the main agreement's possible signing and notification rules.
5. Archive and follow up: store signed versions with the main agreement. Record status, responsibility and activities in Excel.

Excel – amendment register with nine tabs

The workbook compiles registered amendment ID, manual status values, deviations and amount lines. Under Finance, an arithmetic difference is calculated between two filled-in amounts. This is not the same as a legally approved invoice requirement. No macros or external links are required. An Excel-compatible program is needed to edit XLSX; DOCX can be edited in a compatible word processor. The PDF files are searchable print versions, not promised interactive PDF forms.

Legal prerequisites and common mistakes

An amendment presupposes that it can be agreed upon and that the correct parties are represented by authorized persons. The Contracts Act regulates, among other things, contract formation, power of attorney and mitigation. The main agreement's amendment clauses, industry standards and mandatory special rules can affect what is required. Entering an item in Excel is never equivalent to the counterparty having approved it. A document without an identified main agreement version or without clear new terms can give rise to interpretation problems.

Frequently asked questions

Can we change an already signed B2B agreement?

Yes, in many cases the parties can agree on an amendment. Check that the amendment is permitted, that both parties are duly represented and that any written and formal requirements are met.

Does the entire original agreement have to be rewritten?

Not necessarily. With a clearly defined supplementary agreement, it is often possible to change identified parts and expressly keep the remaining terms unchanged. Older supplements and appendices must also be checked.

Are witnesses or a specific signature required?

For a standard B2B supplement, there is no general statutory requirement for witnesses. Special agreement types or agreed formal conditions may require otherwise. Check signing authority and the provisions of the agreement in question.

Does the Excel status "approved" mean that the amendment is legally binding?

No. The status field is a manual administrative task and must be compared with an actually approved and, when required, signed agreement version.

Are the Swedish agreement templates translated into English?

No. The package contains Swedish main documents and a separate English user guide. It is not adapted for foreign law.
