Power of Attorney Register & Power of Attorney Inventory helps individuals responsible in Swedish private limited companies collect documentation on existing commercial powers of attorney, track originals and recipients, and follow up on checks and actions. When is a power of attorney register appropriate?

Choose the package when the company needs to know what documentation exists, where the originals are stored, which recipients have received information, and who is responsible for checking the next action. Each power of attorney is assigned a POA ID that links documents, checks, deviations, and follow-up.

The workflow is intended for standard commercial powers of attorney in Swedish private limited companies. Future powers of attorney, estates, court-issued powers of attorney, branches, and foreign law are not covered by the legal guidance. Banking and authority procedures, procuration, signing authority, and agency powers of attorney need to be handled separately.

What Does the Excel Tool Do?

The workbook has the following tabs: Overview, Powers of Attorney, Recipients, Originals, Checks, Actions, Documents, Deviations, and Read Me. Seven registers each have 200 pre-formatted rows, tables, filters, and input fields. The Overview tab counts registered entries, required additional information, overdue internal checks, and administrative action statuses.

Data checks include duplicate POA IDs, missing information, incorrect document links, dates, and documentation for completed or post-checked actions. Blue fields are for input, and green fields are for calculations. Update the reconciliation date manually before reporting.

Excel does not calculate legal deadlines or send reminders. An administratively closed entry does not mean that the power of attorney has been legally revoked. The checks do not replace a review of the underlying documentation. Expanding beyond the 200 pre-formatted rows requires adapting and testing the tables, formulas, and checks.

How to Use the Package

1. Determine which powers of attorney are included, who is responsible, and how the information is protected.
2. Collect actual documents and communication records. Register the source and POA ID without assuming validity.
3. Complete the power of attorney card and document the recipient and original.
4. Investigate unclear points. Plan necessary actions with the authorized decision-maker and, if necessary, legal counsel.
5. Record execution, evidence, and follow-up checks separately. Conduct periodic follow-ups.

Legal Requirements

The content of the power of attorney and how it was granted affect authority and revocation. Several revocation actions may be required simultaneously. Therefore, changing a register status or making an internal decision alone does not guarantee revocation against third parties. See the Swedish Contracts Act, especially Sections 10–20.

Seek individual assistance if the original is missing, the form of the power of attorney is unclear, multiple methods of communication have been used, a dispute has arisen, or there is a risk of continued use. A sent message and proof of receipt should be documented separately. The package does not include any automatic legal assessment or registration with an authority.

Is This a Power of Attorney Template?

No. The package inventories and follows up on existing powers of attorney. A separate power of attorney tailored to the matter is required to grant someone authority.

Is the Power of Attorney Revoked When I Close the Entry?

No. Administratively closed is a register status. The legal revocation must be assessed and carried out separately based on the form of the power of attorney and the circumstances.

Do the Register Cards Need to Be Witnessed or Registered?

The cards are internal working documents and do not create a power of attorney. Any requirements for a signature, witnesses, a special form, or registration must be checked for the underlying document and recipient.

Can the Files Be Edited and Completed?

DOCX and XLSX files can be edited in programs that support the formats. The PDF files are searchable and intended for printing; they do not contain interactive form fields. Check the layout and formulas after making your own changes. The package does not require macros or external data connections.

Are the Templates in English?

The work templates and Excel tool are in Swedish. The English User Guide explains how to use the Swedish files. It does not make the main templates bilingual.
