About this template
Amending the articles of association of a cooperative – professional template package with proposed amendments, amendment matrix, meeting notice, voting and resolution minutes, registration log, and Excel. For boards and association administrators who need to amend the cooperative's articles of association in accordance with the Cooperative Societies Act (2018:672) (LEF).
Important: A cooperative has its own majority and registration rules. A standard two-thirds majority is not always sufficient: some amendments require three-quarters, the consent of all voters, or even the approval of all voting members. The voting rules must be assessed against the specific amendment and the current articles of association.
01. Package contents
15 customer files in ZIP: 7 Word (DOCX), 7 corresponding searchable PDFs, and an Excel tool (XLSX) with nine tabs. Five Swedish working documents, one Swedish user guide, and a separate English User Guide. The documents have a consistent blue layout and two framed information boxes.
02. What the files contain
Complete amendment proposal with paragraph comparisons, classification of majority requirements, notice, agenda, meeting minutes, the Swedish Companies Registration Office's registration and entry-into-force check, and Excel for tracking cases. Excel displays mathematical voting proportions but never determines legal validity.

How do you amend the articles of association of a cooperative?
According to Chapter 3, Section 4 of the Cooperative Societies Act, the general meeting decides on amendments to the articles of association. First, prepare the current and proposed wording, review the articles' own voting requirements, issue a proper notice with a clear description of the proposal, check voting rights, and document the result in the meeting minutes. The resolution must be submitted for registration immediately and, according to Chapter 3, Section 5, may not be implemented before registration with the Swedish Companies Registration Office.
Majority for amending the articles of association – 2/3, 3/4, or unanimity?
At least two-thirds of those voting is the general rule according to Chapter 6, Section 35 of the Cooperative Societies Act. According to Chapter 6, Section 36, at least three-quarters is required for amendments that increase a member's obligation to pay contributions/fees or restrict a member's right to profit. For certain severe restrictions on the right to assets upon dissolution, the right to receive the contribution amount, or the opportunity to leave the cooperative, the resolution must be approved by all those voting at the meeting. Introducing special conditions under Chapter 10, Section 11, second paragraph, may require the consent of all voting members in the cooperative, which is a different and stricter requirement than all those at the meeting voting yes.
The articles of association may set stricter conditions, for example, requiring resolutions at two meetings. Therefore, there is a separate category and articles check in document 02. Pay particular attention to whether several amendments are combined into a single resolution.
Notice and meeting minutes
The Swedish Companies Registration Office states that the notice must set out the main content of the proposed amendment; preferably, the entire proposed text of the articles of association should be included in the notice or an appendix. The minutes must show what majority the resolution was passed with and whether all members were present. Use the cooperative's current articles of association and Chapter 6 of the Cooperative Societies Act to check the applicable notice period, attendance, and voting rights. The templates do not assume a specific date before this information has been checked.
Registration, entry into force, and special member protection
According to Chapter 3, Section 5, the amendment may not be applied until it has been registered. If the amendment reduces mandatory contributions or otherwise eases the contribution obligation, according to Chapter 3, Section 6, it may only be implemented one year after registration. Chapter 3, Section 7 contains special protection for a member who has not consented and who resigns their membership within a certain period after such an amendment. Amending the reporting currency is subject to special rules under Chapter 3, Section 9. Document 05 helps you keep the resolution date, registration date, and any later implementation date separate.
This product does not include the Swedish Companies Registration Office's official registration form. The application itself must be made via the authority's online service or the current official authority form.
Excel – nine tabs for the articles amendment process
Overview, Amendments, Notices, Votes, Minutes, Registration, Actions, Checks, and Read Me. Seven registers each have 100 empty rows. The overview counts registered case IDs. The vote counting tab separately shows yes, no, and abstentions, as well as a purely mathematical proportion of yes votes among registered yes and no votes. Which votes and abstentions must actually be counted and what majority is required must be determined manually according to law and the articles of association. Excel does not provide an automatic legal approval stamp.
How to use the template package

- Issue a proper notice. State the proposal and appendices in document 03 and verify the notice period and distribution method.
- Hold the meeting. Establish the voting record, votes, and exact resolution outcome in document 04; separate mathematics from legal validity.
- Submit and verify. Use the Swedish Companies Registration Office's service and document the registration notice, member protection, and any additional waiting periods in document 05.
- Track in Excel. Check submitted documents, status, responsible parties, and archiving references.
Frequently Asked Questions (FAQ)
Can the board amend the articles of association itself?
No. According to Chapter 3, Section 4 of the Cooperative Societies Act, the resolution is made by the general meeting.
Is a two-thirds majority always sufficient?
No. That is the standard level under Chapter 6, Section 35, but Section 36 contains higher requirements for particularly severe changes. The articles of association may also set stricter conditions.
Can the articles of association require two general meetings?
Yes, according to the Swedish Companies Registration Office's guidance, the articles of association may prescribe stricter conditions that must be followed. Check the cooperative's currently registered articles of association.
When do the new articles of association take effect?
The resolution must be registered and may not be implemented before registration. Certain amendments that reduce mandatory contributions may only be implemented one year after registration.
What happens if a member does not consent to a detrimental change?
Chapter 3, Section 7 contains special protection in specified cases, including the option to resign within one month. The assessment is individual.
Can Excel determine that the resolution is legally valid?
No. Excel provides register support and mathematical vote counting but does not assess the correct amendment category, notice, resolution authority, articles, or registration.
Do we get a form that is sent directly to the Swedish Companies Registration Office?
No. The package contains resolution and registration supporting documents, but the authority's online service or official form is used for the registration application itself.
Are the documents externally reviewed by a lawyer?
The legal sources have been checked with AI assistance on November 2, 2026. No independent external legal review is documented.
