About this template

Board changes and board handovers in housing cooperatives – inaugural board meetings, signing authority, Bolagsverket registration checks, and transfer of access. Is a new board taking over your housing cooperative after the annual general meeting? This document package helps outgoing and incoming representatives create a traceable transition with editable Word templates, searchable PDF copies, and Excel registers. Specifically for Swedish housing cooperatives and their current bylaws.

Short answer: An election at the annual general meeting, an inaugural board meeting, notification to Bolagsverket, actual registration, and access in the bank are five different control points. According to the Swedish Economic Associations Act, Chapter 7, Section 13, changes in the board's composition take effect when the notification is received by Bolagsverket, or at a later decided time. Special signing authorities are subject to the corresponding principle in Chapter 7, Section 39. A notification to the bank does not automatically grant bank access. No Excel formula can determine these legal effects.

01. Package contents

Total of 15 customer files: five Swedish work templates and two guides – all seven as editable Word (DOCX) and corresponding searchable PDF – as well as an Excel register with nine tabs. The five work templates cover inaugural board minutes, handover receipts, access inventory, notification to the bank/property manager, and Bolagsverket's registration journal. A Swedish user guide and an English User Guide are included. Digital delivery as a ZIP when the store attaches the file and publishes the product.

02. What the files contain

Real fields and decision support: association and annual general meeting decisions, minutes number, serving board members, chairperson question, signing authority method, approval, document archive, open cases, key receipt, removed access, confirmation from suppliers, and Bolagsverket's receipt date. Excel distinguishes between submitted notification, receipt date, specifically decided later time, and later registration check. Administrative warnings show missing documentation but never assess legal validity.

Who needs a board handover package for a housing cooperative?

It is suitable for a newly elected board, an outgoing chairperson, a property manager, or a minutes taker in a housing cooperative. Particularly useful when the association needs to get control of signing authorities, bank and property manager access, joint digital accounts, contracts, property management, and ongoing cases. The documents do not replace the annual general meeting's actual election or what must be done through Bolagsverket's and the bank's own services.

The Excel tool for a traceable board change

Nine tabs: Board change, People & roles, Registration, Signing authority, Access, Handover, Actions, Overview, and Read me. The seven registers have 200 empty input rows each. The overview summarizes registered entries and administrative completion needs. 1,437 formula cells provide signals about missing annual general meeting dates, not yet checked bylaws, and missing proof that Bolagsverket has received the change notification. These signals are administrative, not legal decisions.

How to make a board change in a housing cooperative – step by step

  1. Check election decisions and bylaws: establish which board members and alternates have actually been elected and how the chairperson is to be appointed. Base it on the annual general meeting's authentic minutes.
  2. Hold an inaugural board meeting: document current decisions about the chairperson and any special signing authorities, after proper assessment of quorum, conflicts of interest, and bylaws.
  3. Check signing authority: distinguish the board's general right to represent the association from special signing authorities and from the bank's user access rights. Document exactly any two-in-company rule.
  4. Notify Bolagsverket immediately: notify changed board details, chairperson, and signing authority according to Bolagsverket's routines. Register separately when the authority received the notification.
  5. Hand over documents and open cases: receipt contracts, minutes, keys, contract deadlines, financial reports, and operational cases, without unnecessary dissemination of personal data.
  6. Update digital accounts and bank: remove old user rights and let the service provider check access. Do not save passwords, BankID details, or backup codes in the templates.
  7. Verify completion: compare later registration certificates, bank confirmations, and property management systems with the actually decided composition. Follow open deviations to a documented completion.

Legal rules for new board and signing authority

When does a new housing cooperative board take effect?

The Swedish Economic Associations Act (2018:672), Chapter 7, Section 13 states that a change in the board's composition takes effect when the registration notification is received by Bolagsverket, or from a later time in the underlying decision. A prepared but not yet received notification is not the same. See also Bolagsverket's guidance on changing a housing cooperative board.

Who may sign a housing cooperative's firm?

LEF Chapter 7, Section 35: the board represents the association. According to Sections 37–40, the board can, within the framework of the bylaws, authorize special signing authorities and decide that two or more shall sign jointly. Other internal amount or approval limits may not automatically be treated as registrable limitations of the signing authority. Authorization or revocation according to Section 39 may have a special temporal legal effect attached to the authority's receipt of the notification or a later decided time.

What is special for housing cooperatives?

The Swedish Housing Cooperative Act (1991:614), Chapter 9, Section 12 makes special adaptations to the rules for economic associations. Do not assume that all rules for other economic associations or limited companies apply unchanged. The bylaws and actually decided board positions must always be read.

How are personal data and bank accounts protected during handover?

IMY's guidance for associations emphasizes that processing should be limited to what is necessary and that access should be protected. Use secure channel and administrator functions for access changes; do not put personal numbers, member registers, passwords, backup codes, or financial login details in the Excel package. A bank may require its own forms or specially certified documents.

Frequently asked questions – board change housing cooperative

Are board change and inaugural board meeting the same thing?

No. The annual general meeting normally elects members while the board documents its constitution. The board's composition has a special legal effect linked to the notification to Bolagsverket.

Must a new board be notified to Bolagsverket?

Yes, changed registration-obligatory details about the board, chairperson, and signing authority must be notified immediately according to LEF Chapter 7, Sections 44–45.

Does the decision only apply when the registration certificate arrives?

Not generally. For changed board composition, the relevant time is normally when the notification has been received by Bolagsverket, or a later time according to the decision. The registration certificate may come later.

Can the new chairperson automatically sign the firm alone?

No. The chairperson role does not automatically entail sole signing authority. Check current signing authority, the bylaws, and any special signing authorities.

Is the document to the bank a bank power of attorney?

No. It is a notification of board change and a request for the recipient's review. The bank decides which own access documents and identity checks are needed.

Does Excel contain a password list or personal numbers?

No. The workbook is intentionally designed without such columns. Never store login details, MFA codes, or account numbers in this register.

Is Excel an automatic legal check of the board's authority?

No. The formulas only detect incompletely registered details. Legal authority, decision-making capacity, and the bank's actual access review require separate checks.
