About this template
Working Group Mandate and Follow-up Register for Non-Profit Organizations – seven practical documents in Word and PDF, plus an Excel tool with nine tabs. The package helps the board appoint an internal working group, set a clear mandate, assign tasks, and track what has actually been completed.
Important before use: A working group does not automatically have the right to represent the organization, enter into agreements, make purchases, or make new organizational decisions. Check the organization's current bylaws, the proper decision-making body, minutes, and any budget decisions for each mandate. The documents do not constitute a general power of attorney.
What is a working group mandate?
It is an internal document showing why a working group has been appointed, what results it is expected to deliver, which roles are responsible for different tasks, and where its mandate ends. A practical example is an organization that appoints a working group to prepare a themed event and submit proposals to the board without having the authority to bind the organization.
01. Package Contents

02. What the files contain
Appointment directive with decision reference, mandate, and scope; work plan with responsibility matrix; meeting/activity log; final report; guides; and Excel tools for groups, mandates, activities, meetings, resource costs, deviations, and controls.

Excel tool with nine tabs
The workbook has the tabs Overview, Working Groups, Mandates, Activities, Meetings, Resources, Deviations, Controls, and Read Me. It counts registered groups and mandates, activities with different manual statuses, open deviations, and separate totals for the budgeted amount, proposed cost, approved cost, and paid cost.
Important about Excel: Automatic summaries are administrative and do not determine whether a mandate, minute, purchase, or payment is legally valid. That an activity has been completed is not the same as the result being verified. The workbook does not contain macros or automatic privacy assessments.
How the organization uses the templates
- Check the bylaws, actual board or annual meeting decisions, and the authority to appoint the group.
- Fill in the directive with the minute reference, purpose, responsibility, and timeframe.
- Define what the group may and may not do, including contact with external parties and any costs.
- Create the work plan, responsibility matrix, and control points.
- Document activities and proposals without calling them properly made board decisions.
- Track costs separately as proposed, approved, or paid.
- Compile the final report and let the proper body decide on closure and new measures.
Legal prerequisites and limitations
The organization and decisions of a non-profit organization are based, among other things, on bylaws and practice. The Swedish Tax Agency's guidance describes the board as the organization's executive body and emphasizes the importance of bylaws and authorized representatives. Swedish Tax Agency – form a non-profit organization and Swedish Tax Agency – manage a non-profit organization.
The mandate does not automatically grant the right to enter into agreements, decide on member assets, or use a member register. Personal data in participant and meeting information may be subject to GDPR, even when indirect identifiers are used. If necessary, the organization must assess purpose, legal basis, data minimization, access, and deletion. See IMY – GDPR responsibilities for organizations.
The product does not replace a mandate agreement with an external consultant, employment agreement, personal data processing agreement, or power of attorney review. For external commitments, financial risks, or sensitive personal data, separate expert assessment may be required.
Frequently Asked Questions
Can the board appoint a working group?
It depends on the organization's bylaws and current decisions. The board normally handles ongoing implementation, but check who has the right to decide on this particular mandate.
Can the working group sign agreements or make purchases?
Not automatically. Such commitments require actual and sufficient mandate from the proper body or representative. The template's mandate description can document the mandate but cannot create it without a legal basis.
Can the mandate be tracked in Excel?
Yes. The workbook registers working groups, mandates, and activities, counts open deviations, and separates proposed from approved and paid amounts.
Does a proposal become a board decision when it is registered?
No. A working group proposal is not an actual decision from the proper body. Document the actual decision with the correct minute reference.
Are the PDF files editable forms?
They are searchable and printable PDF files but do not contain verified interactive form fields. The Word files are used for editing.
Are the templates in English?
The five working documents and the Swedish user guide are in Swedish. The English User Guide explains their use and does not imply adaptation to foreign law.
