What is an installment agreement between companies?
An installment agreement specifies how parties shall settle an already existing, specified debt in parts. A payment deferral is not automatically a debt write-off and does not mean that the original claim ceases to exist. Therefore, always specify which debt is covered, the verified principal amount, payment dates, settlement order, and any objections or excluded amounts.
Penalty interest, amortization plan, and allowable costs
The Interest Act (1975:635) regulates penalty interest where applicable. The statutory penalty interest according to Section 6 is generally the Riksbank's reference rate plus eight percentage points. The reference rate is determined according to Section 9 every half-calendar year; therefore, do not use a fixed interest rate for future periods. Particularly for traders, Section 4a limits the possibilities to contractually waive certain penalty interest in advance. Interest must be checked against the original agreement and law before signing the agreement.
According to Sections 3–4 of the Act (1981:739) on Compensation for Debt Collection Costs, etc., compensation for a complete written amortization plan may be provided under certain conditions, for example, when the plan has been prepared in consultation with the debtor and has been sent or handed over. The act's specified maximum normal amount is 170 SEK. The fee is not mandatory and may not be charged unless the conditions are met. Also, specifically check for any late payment fees and other claim costs to avoid unauthorized or duplicate charges.
Statute of limitations and acknowledgment of debt
Section 5 of the Statute of Limitations Act (1981:130) states that the limitation period can, among other things, be interrupted if the debtor promises payment, pays interest or amortization, or otherwise acknowledges the claim to the creditor. This must be assessed based on the individual claim, the timing, and the evidence. A payment plan is not proof that every previous dispute is resolved, or that a time-barred claim has automatically been revived.
Excel register – nine tabs and dashboard
The workbook contains Dashboard, Receivables, Plans, Payments, Interest and costs, Objections, Communication, Control, and Read me. Control formulas show registered receivables, verified payments, remaining principal, and any settlement differences. Planned payments do not automatically reduce the principal. Only registered actual capital payments and previous settlements are used for the administrative balance. Tax rates, penalty interest, statute of limitations, and legal compensation claims are not calculated automatically.
How to use the templates
- Verify the parties' company details and authorization to sign.
- Collect invoices, agreements, credits, and actual payments; document any objections.
- Determine the amount actually covered by the agreement.
- Fill in the installment agreement and its payment schedule with dates and individual partial amounts.

- Sign with authorized representatives and provide both parties with the complete plan.
- Register actual payments, not just planned ones, in Excel.
- Issue a final receipt only after verified final payment and verification of covered claims.
Frequently asked questions about installment agreements
Is a payment plan the same as a new loan?
Not necessarily. This template refers to the payment order for a specified existing B2B claim. A new loan or a change of legal basis may require a different agreement and different scrutiny.
Must the creditor accept an installment plan?
No, there is no general right for companies to unilaterally demand a new installment plan following from this template. The terms are based on an actual agreement between the parties.
Is it allowed to charge a fee for an amortization plan?
Only if relevant legal conditions are met. According to Sections 3–4 of the Debt Collection Costs Act, there are specific requirements for compensation for the preparation of a complete amortization plan. The fee is not automatic.
Does the original debt cease to exist when the plan is signed?
Not automatically. The agreement explicitly states whether it is a deferral, a change in payment terms, or a specifically negotiated remission.
Are English contract documents included?
No. The five working documents are in Swedish. An English user guide is included to explain how to use the templates.
Does Excel work without an interest rate being specified?
Yes. Excel tracks administrative principal, payment plans, and received payments. Interest and costs require separate individual assessment and manual entry.
