Assignment of claims and notice (denuntiation) – template package for B2B

What does an assignment of claims entail?
In an assignment of claims, the previous creditor transfers their claim to an assignee. When assigning a simple promissory note (enkelt skuldebrev), Section 27 of the Promissory Notes Act (1936:81) stipulates, among other things, that the assignee does not acquire better rights against the debtor than the assignor had. The rules in Sections 26–31 regarding simple promissory notes are also relevant for other simple claims under applicable law and practice, but each situation must be assessed individually.
Section 28 contains specific rules regarding the debtor's right of set-off. According to Section 29, payment to the original creditor may in certain cases be discharging when the debtor lacked relevant knowledge. An assignment agreement therefore does not automatically remove objections or create a new, larger debt.
Why is denuntiation (notice) necessary?
For simple promissory notes, Section 31 of the Promissory Notes Act generally states that the debtor must be notified of the assignment for it to be valid against the assignor’s creditors. The provision contains both explicit exceptions and special rules regarding multiple assignments. There are also practical risks concerning payment to the former creditor and incorrect payment instructions.
The included denuntiation template is a clear notice stating which claim has been assigned, who the new creditor is, and where payment should be made. The template is not a new promissory note and does not automatically require new consent from the debtor. Sending a message does not prove that it has reached the debtor. Therefore, a separate journal for actual receipt and verification is included.
For a clearer distinction between a simple and a negotiable promissory note, read our guide to promissory notes and transfers of claims. A notice to the debtor under Section 31 of the Swedish Promissory Notes Act normally concerns simple promissory notes, with statutory exceptions. This package is for straightforward B2B claims, not negotiable notes or full factoring arrangements.
Validity of the claim, warranties, and objections
When assigning a promissory note for consideration, Section 9 of the Promissory Notes Act applies, among other things, regarding the assignor’s responsibility for the validity of the claim under specified conditions. However, the assignor does not automatically guarantee the debtor’s solvency. The package helps the parties to expressly regulate or highlight risks and specially negotiated warranties – without claiming that every claim is assignable or collectible.
Excel register for assignment of claims
The register includes nine tabs with an administrative dashboard. An arithmetic balance is only calculated when the user enters both the original amount and previous payments or credits. A positive balance is not a legal guarantee of existence, assignability, protection under property law, statute of limitations, or collectibility. These checks must be performed separately.
How to use the package
- Identify each claim exactly with original contract, invoice, balance, payment history, and supporting documentation.
- Check for objections, set-off, statute of limitations, previous assignments, and prohibitions against assignment.
- Sign the assignment agreement with the correct parties, authority, purchase price, terms, and risk allocation.
- Send individual notice to the debtor with verified payment instructions.
- Document dispatch, actual receipt, contradictory information, and the debtor’s response.
- Assess individually whether the intended protection against third parties has been established and if exceptions apply.
- Record only factually documented events in Excel; handle personal data in accordance with GDPR.
Important limitations
The package is not intended as a complete agreement for negotiable promissory notes (löpande skuldebrev), securities, consumer credit, bulk factoring, factoring with recourse, pledging, international claims, or a complete takeover of both rights and obligations under a contract. For such situations, specific formal requirements, protective regulations, permits, and individual contractual terms may be necessary. Personal data concerning debtors may only be processed if there is a legal basis under GDPR; see the Swedish Authority for Privacy Protection (IMY) guidelines.
Frequently asked questions
Does the debtor have to consent to an assignment of claims?
Not generally for a simple monetary claim. However, check whether law, the original agreement, the nature of the claim, or other specific circumstances restrict the assignment. A complete substitution of parties (partsbyte) is a different type of transaction.
What is denuntiation?
It is a notice to the debtor that the claim has been assigned. According to Section 31 of the Promissory Notes Act, the notice is generally significant for protection against the assignor’s creditors in the case of simple promissory notes; special rules and exceptions may apply.
Can the debtor object to an assigned invoice?
Yes. The assignee generally cannot evade the debtor’s existing objections simply by changing creditors. See, among others, Sections 27–28 of the Promissory Notes Act.
Is it enough to send an email?
It is important to distinguish dispatch from actual receipt and legal effect. Document address, channel, response, and available proofs of receipt.
Is this a complete factoring agreement?
No. The package is designed for individual simple assignment of claims. Ongoing factoring and extensive credit/buyback terms require specific contractual drafting.
Are English agreements included?
The five work documents are in Swedish. An English user guide is included for reference.
