About this template
Assignment Agreement & Contract Transfer – template 2026/2027 in Word, PDF, and Excel
Do you need to replace a party in an existing commercial contract? With this assignment agreement in Word and PDF, you get a structured tripartite agreement for the outgoing party, incoming party, and remaining contract party, a separate consent form, an appendix for rights and obligations, and a handover protocol. An Excel register with nine tabs helps to track cases and the necessary checks.
The products apply to standard commercial B2B contracts, such as consultancy, supplier, and service agreements. They must be adapted to the actual terms of the contract and any applicable special regulations. A party replacement can usually not be carried out with release from obligations solely by two of three involved parties signing a transfer deed.

What is an assignment agreement?
A party replacement means that a contract party in an existing agreement is replaced by another. Unlike a simple transfer of certain rights, a party replacement can include both rights and obligations. Therefore, the conditions for the counterparty's approval, liability for the period before the change, and which performances are actually transferred must be expressly regulated.
Difference between party replacement and assignment of receivables
Anyone who assigns a simple receivable essentially transfers a right to be paid. The rules in Sections 27–31 of the Promissory Notes Act (1936:81) may then become relevant, including regarding the debtor's objections, payment, and notification. Assigning a debt or transferring a performance obligation to someone else is something else; a complete party replacement with the assumption of obligations normally requires the remaining counterparty's consent or other legal support.
Why a tripartite agreement?
A tripartite agreement documents what the old party, the new party, and the remaining counterparty have actually accepted. Template 02 has space for the original agreement, appendices, transferred performances, conditions for entry into force, and liability. Template 03 can be used when consent is to be given separately. None of the documents automatically imply that previous debts, warranty liabilities, or collateral cease to exist.
Liability for old debts and ongoing claims
Before the party replacement, the parties should perform a thorough inventory of, for example, unpaid invoices, delivery defects, complaints, ongoing disputes, damage claims, warranties, guarantees, and pledges. Template 04 makes it possible to identify what is transferred, excluded, and specifically regulated. Limitation of liability must be expressly agreed upon where it is possible and binding for the involved parties.
Excel register for party replacements – nine tabs
Overview · Agreements · Party changes · Consents · Receivables · Obligations · Handover · Control · Read me. The dashboard provides a quick overview of registered agreements, party replacement cases, consents, open checks, and completed handovers. It is based on the user's actual entries and does not legally determine whether a party replacement is valid. For example, a "Done" status marker is not a substitute for valid consent and fulfilled conditions.
How to use the template package – step by step
- Check the main agreement: identify all affected contracts and transfer prohibitions, as well as requirements for consent and authorized signatures.
- Perform the pre-check: fill out template 01 and determine whether it truly concerns a complete party replacement, an assignment of receivables, or something else.
- Fill out the tripartite agreement: specify the three parties, which rights and obligations are covered, and exactly when the conditions for effect are to be met.
- Document consent: have the remaining party sign the agreement or a separate, correctly defined consent form.
- Specify historical obligations: document previous debts, receivables, collateral, agreements, and open disputes in appendix 04.
- Hand over and control: use template 05 for contract documents, access rights, obligations, and outstanding issues.
- Follow up in Excel: register case ID and manually verified implementation without unnecessary personal data.
Limitations – when is other legal review required?
A standard template for a commercial party replacement should not be used without specific review for the transfer of tenancy rights, employment contracts, public procurement contracts, personal permits, insolvency proceedings, or corporate restructuring. For public contracts, specific provisions in public procurement legislation may limit the change of supplier. Intellectual property licenses and other rights may have their own transfer restrictions. Transfer of personal data also requires a data protection assessment.

Common questions about party replacement agreements
Must the counterparty approve the party replacement?
In a complete party replacement where someone else is to take over obligations, the remaining counterparty's consent or other applicable contractual or legal support is normally required. Check the main agreement and applicable special legislation.
Is an assignment of an invoice receivable the same thing as a party replacement?
No. A receivable is a right; a complete party replacement can also include performances and debts. For simple receivables, special rules in the Promissory Notes Act may become relevant.
Do old debts automatically transfer to the new party?
It is not possible to give a general answer. Historical obligations and liability issues must be expressly analyzed and regulated, including any objections, collateral, and concessions.
Can a party replacement be carried out without three signatures?
Consent can sometimes be provided in another documented manner, but the issue depends on the contract, which obligations are covered, and applicable law. This delivery contains both a tripartite agreement and a separate consent template.
Can I use the template for residential tenancy or public procurement?
Not without special review. There, specific mandatory rules, consent requirements, and transfer restrictions may apply.
Are the main templates available in English?
No. The five main templates are in Swedish, and an English User Guide is included with instructions for use under Swedish law.
