What is a parent company guarantee?
A parent company guarantee means that a company assumes an explicit guarantee or suretyship liability in relation to, for example, its subsidiary’s creditor or supplier. The term itself does not define the legal type of liability that applies; this is determined by the contract and relevant law. This package is specifically designed as an accessory proprietary suretyship (*proprieborgen*) for an identified principal debt pursuant to Chapter 10, Section 9 of the Swedish Commercial Code.
The difference between proprietary suretyship and an independent guarantee
In a proprietary suretyship (*proprieborgen*), the surety is liable as if for their own debt according to the specified suretyship commitment. It is not automatically an independent on-demand guarantee. An on-demand guarantee or bank guarantee may have different risks, conditions for demand, and relationship to the principal debt. This is not a template for a bank guarantee or an independent on-demand guarantee. If you require such an instrument, a different legal structure is needed.
How the guarantee cap works
The template identifies the principal debtor, creditor, agreement, covered claims, due date, deadline for written demand, and an explicit aggregate maximum amount. The cap also includes any interest and costs that the parties have chosen to include. An amended or increased debt is not automatically covered without required approval. Actual payments settled must be accounted for to ensure the same debt is not charged twice.
Is a group guarantee always permitted under the Companies Act?
No. An assessment may be required regarding corporate benefit, decision-making authority, financial risk, and potential unlawful distribution of assets pursuant to Chapter 17 of the Swedish Companies Act (2005:551). If the guarantee serves as security for a monetary loan, Chapter 21, Section 3 applies specifically, referring to the loan prohibition and exceptions in Chapter 21, Sections 1–2. Specific rules on share acquisitions under Chapter 21, Section 5 may also be relevant. The applicable wording of statutory rules and the prerequisites must be checked upon each signing.
Does the parent company need to charge a guarantee commission?
Not automatically. The Swedish Tax Agency’s guidance on financial guarantees and internal pricing emphasizes the need to map the actual transaction and its effect for the borrower. Especially in cross-border intra-group relationships, the arm’s length principle may need to be investigated. A formal guarantee commitment does not imply in all situations that a guarantee fee must be charged.
Excel register – nine tabs
The associated Excel register documents identified guarantees, manually approved guarantee caps, principal claims, demands, actually verified payments, any commission, as well as decisions and risks. The dashboard shows administrative totals and control items. Excel never automatically determines whether the guarantee is valid, whether a demand is due, or whether the guarantor must pay. Amounts and accounting consequences must be evaluated individually.
How to use the templates
- Check exactly which companies are the guarantor, principal debtor, and creditor.
- Identify the principal agreement, claims, payment terms, and any collateral.
- Determine an aggregate amount cap, including all permitted additions.
- Evaluate board decisions, corporate interest, Chapter 17 of the Companies Act, and applicable limitations under Chapter 21 of the Companies Act.
- Draft and sign the guarantee and claims appendix with authorized representatives.
- Keep originals, counterparty receipt details, and versions of the principal agreement.
- Document demands and verify the actual principal debt, objections, and payments.
- Issue a receipt only after verified payment and evaluate any potential recourse separately.
Common questions
Is a parent company guarantee the same thing as a proprietary suretyship?
Not necessarily. A parent company guarantee typically describes who provides support. This template is explicitly a limited-amount proprietary suretyship, not an independent on-demand guarantee promise.
Can the same parent company guarantee all future debts?
This package is limited to identified commitments and a specified maximum amount. General future obligations require other, individually reviewed terms.
Is the guarantee automatically valid within a group?
No. Authority, business justification, risk, and applicable rules in the Companies Act must be assessed.
What happens if the parent company pays?
An actual payment may lead to recourse claims against the principal debtor. The right to recourse and the effects on any collateral must be assessed separately.
Does Excel calculate legally valid suretyship liability?
No, only administrative amounts based on manually registered data and checks.
Are English guarantee agreements included?
No. The five working documents are in Swedish. An English user guide is included.
