This is a complete template package for suretyship and guarantees as for own debt (proprieborgen) under Swedish law. The package includes both a general/commercial guarantee template and a specific version for residential or commercial lease agreements, plus a detailed user guide.

Proprieborgen – guarantee as for one's own debt

In a proprieborgen (guarantee as for own debt), the guarantor assumes the principal debtor's debt as if it were their own. Once the secured obligation has fallen due, the creditor may direct claims against either the debtor or the guarantor within the scope of the guarantee.

The template is therefore clearly marked as proprieborgen and should not be confused with a simple guarantee, where the payment liability is triggered in a different manner.

General and commercial suretyship

The general version can be adapted for, for example:

  • commercial supply and cooperation agreements,
  • corporate debts and private debts,
  • commercial premises leases,
  • other clearly identified payment obligations.

The document contains structured fields for the principal agreement, principal debtor, creditor, guarantor, amount limit, term, interest, collection costs, future obligations, and multiple guarantors.

Amount-limited or clearly defined guarantee

The template allows for the specification of a maximum principal amount and the ability to mark separately whether interest, default interest, or legally recoverable collection costs should be included in addition to the amount limit.

It is also possible to specify which principal agreement is covered and the period for which the commitment applies. This reduces the risk of subsequent disputes regarding the scope of the guarantee.

Amendments to the principal agreement

A guarantor should not have to bear a completely different or significantly greater risk than the one accepted at the time of signing without explicit consent. The template therefore includes a specific clause stating that significant expansions of the principal debtor's obligations must be handled explicitly.

There are also fields to indicate whether normal index or rent adjustments, renewal periods, or other future changes should be covered.

Multiple guarantors

If two or more people provide a guarantee without a reservation for shared liability, Chapter 10, Section 11 of the Commercial Code states that they are jointly and severally liable. The package therefore includes a clear choice between:

  • joint and several liability, or
  • shared liability according to an explicitly stated distribution.

Specific template for rental agreements

The rental version is divided so that the user must specify whether the security applies to:

  • residential apartment, or
  • commercial premises.

This is important because residential and commercial leases do not have identical rules.

Residential rent – mandatory right of termination

When a guarantee has been provided as security for a residential apartment lease, the guarantor has a special statutory right under Chapter 12, Section 28a of the Land Code.

The guarantor may terminate the commitment so that it ceases at the end of the month occurring closest after nine months from the notice of termination, but no earlier than at a time occurring two years after the guarantee commitment began to apply. A contractual term that restricts this right is void.

The rental template therefore includes specific fields for the start date, the two-year limit, and where a notice of termination from the guarantor should be sent.

Commercial rent

For commercial leases, the residential rule in Section 28a does not apply. Instead, Chapter 12, Section 28 of the Land Code regulates the situation where collateral or a guarantee as security for a commercial lease agreement deteriorates. The tenant may then, under the conditions of the law, be required to provide new security, and failure to provide new security may have consequences for the lease agreement.

The template package therefore keeps residential and commercial premises clearly separate.

Which obligations can be covered?

The user can select, for example:

  • principal claim or unpaid rent,
  • agreed additions and fees,
  • agreed interest,
  • default interest,
  • legally recoverable collection costs,
  • other specifically stated payment obligations.

Term and future obligations

For a general guarantee, there are fields to specify whether the commitment applies until full payment, until a certain date, or according to another defined time point. For ongoing principal agreements, the parties can also specify whether the guarantor has the right to terminate the commitment for future obligations.

Such termination does not automatically mean that liability for obligations already incurred disappears. Therefore, the template clearly distinguishes between existing debt and future obligations.

Claims against the guarantor

The package recommends that a claim clearly specifies:

  • which principal obligation has not been fulfilled,
  • due date,
  • principal claim,
  • interest and costs,
  • how the requested amount has been calculated.

Recourse after payment

If the guarantor pays the principal debtor's debt, the right of recourse against the principal debtor may be triggered. The template package explains this in the user guide but does not fully regulate complicated recourse, security, or co-guarantor relationships.

Frequently asked questions

What does proprieborgen mean?
The guarantor has assumed the debt as for their own, which means the creditor can direct claims directly against the guarantor once the secured obligation has fallen due.

Can the template be used for residential rent?
