About this template
Amending the bylaws of a non-profit association – templates for proposals and decisions
Is a Swedish non-profit association going to change its bylaws? With this document package, you prepare the proposed amendment, compare paragraph versions, review the decision-making procedure actually specified in the association's current bylaws, and document how the amendment was handled and communicated. The package contains editable Word files, searchable PDF versions, and an Excel register.
Important before purchase: The package is for non-profit associations, not economic associations or housing cooperatives. There is no general majority rule, notice period, or registration procedure that applies to every non-profit association. Always check the current bylaws, any federation membership, and special obligations before making a decision. The package does not replace a correctly drawn up and adjusted meeting minutes.
01. Package contents
15 delivered files: 7 DOCX, 7 corresponding searchable and print-friendly PDFs, and 1 XLSX workbook with nine tabs. Five working documents are in Swedish. A Swedish user guide and English User Guide are included separately, in both Word and PDF. The PDF files are not interactive forms.
02. What the files contain
Proposed amendments to the bylaws, paragraph comparison, and impact analysis, review of bylaw rules and decision-making procedure, special decision appendix for meeting minutes, and adoption and information review. Excel tracks changes, bylaw rules, meetings, decisions, referrals, dispatching, and reviews – without automatically assessing legal validity.
Who is the document package for?
Boards, secretaries, elected representatives, and others who work with a proposed amendment to existing bylaws in a Swedish non-profit association. Particularly useful when multiple paragraphs are affected or when the decision needs to be followed up in more than one meeting.

Overview, Changes, Bylaw rules, Meetings, Decisions, Referrals, Dispatching, Reviews, and Read me. The overview counts registered changes and meetings as well as manual statuses, for example minutes marked as adjusted. A registered or adjusted minutes status does not automatically mean that a bylaw amendment is legally valid.
Practical workflow
- Retrieve the actually current bylaw version and previous meeting minutes.
- Fill in the proposed amendment and compare the old and new wording.
- Check the bylaws' rules on who decides, notice, majority, and any multiple meetings.
- Carry out the notice and decision in the correct order and document the meeting in actual association minutes.
- Follow up on decision conditions, update the bylaw version, and check any external registrations and notifications.
Legal prerequisites
A Swedish non-profit association's bylaws are central to the organization and its decision-making procedure. The Swedish Tax Agency states, among other things, that the bylaws should regulate how they can be amended. The correct decision-making body and decision conditions must be investigated in the individual association's current bylaws. For a commercial non-profit association registered with the Swedish Companies Registration Office, amendments may need to be handled in that register. Not all non-profit associations are required to automatically register every bylaw amendment with the same authority.
Changes to, for example, the association's purpose, member rights, right to assets upon dissolution, or federation and grant conditions, may require an in-depth assessment. The document package does not determine whether an individual decision is valid.
Frequently asked questions
How do you change the bylaws of a non-profit association?
Start by reading the amendment provision of the current bylaws. Prepare an exact proposal and call the competent decision-making body according to the association's own rules. Document the decision that is actually made.
Are two annual general meetings required for a bylaw amendment?
Not always. It depends on the association's current bylaws and any special rules. Use separate meeting references when more than one handling is required.
What majority is required for a bylaw amendment?
It is not possible to state a general percentage for all non-profit associations. Check exactly what the association's bylaws require and whether the content of the amendment gives reason for a special assessment.
Do amended bylaws need to be registered?
It depends on the association's situation. A registered commercial non-profit association may need to report relevant changes to the Swedish Companies Registration Office; other organizations and grant providers may require information according to their own conditions.
Does the decision appendix replace an annual general meeting minutes?
No. The decision appendix is a working basis for the meeting minutes and must match the decided wording and the documented voting result.
Are the Swedish main templates available in English?
No. The working documents are in Swedish. The English User Guide explains how the Swedish files are used within the Swedish legal context.
Are Word and PDF editable?
The Word files are editable. The PDF versions are searchable and print-friendly, but lack interactive fillable fields.
