About this template
BRF bylaw amendment – template package for amendment proposals, notices to two association meetings, decision minutes and Bolagsverket registration check. Should the board of a housing cooperative update the bylaws? The package helps the association compare old and new bylaw text, prepare notices, document the actual meeting decisions and follow the registration. You get editable Word documents, searchable PDF versions and an Excel register with nine tabs.
Short answer: A bylaw amendment in a Swedish housing cooperative can be decided at one meeting only if all voting members in the association agree. Normally, two consecutive association meetings are required, at which at least two-thirds of those voting at the second must vote yes. Certain issues require three-quarters, all those voting or special consents. The amendment must be registered with Bolagsverket before it can be implemented according to the Housing Cooperative Act, Chapter 9, Sections 23–25.
01. Package contents
15 customer files: 7 editable DOCX, 7 corresponding searchable A4 PDFs and an XLSX workbook with nine tabs. The five Swedish working documents cover the amendment matrix and bylaw proposal, notice to the first meeting, first decision minutes, notice to the second meeting and the second decision minutes with registration log. In addition, a Swedish guide and an English User Guide explaining the Swedish files are included. The delivery is a digital ZIP package after the store has linked the file and activated the product.
02. What the files contain
Work fields for actual documentation: registered association name, organization number, current and proposed bylaw text, version ID, affected right, notice period, proposal attachments, meeting date, voting list, yes/no votes, meeting minutes adjustment, special consents, submission date, diary number and Bolagsverket registration date. Excel displays administrative warnings but cannot automatically assess legal validity, majority requirements or consent requirements.
Who needs a template for a BRF bylaw amendment?
It is intended for boards and property managers in Swedish housing cooperatives who want to propose and manage changes to the association's registered bylaws. Typical situations are updated purpose provisions, board organization, bylaw provisions on annual fees or other association rules. The legal path and requirements may differ between amendment types; use the documents as structured working templates, not as an automatic basis for decisions.
This package does not apply to a non-profit association. For that type of association, there is a separate template for bylaw amendment in a non-profit association. For the other points of the meeting, there is a general association minutes, but it does not replace the BRF's special amendment and registration requirements.
In-depth: Read our guide to association administration, bylaws and minutes for an overview of how the documents are connected. The guide is general; the housing cooperative's special decision-making and registration rules must always be checked separately.

Excel: nine tabs for the two-meeting process and registration
The workbook has Proposal, Paragraphs, Meetings, Notices, Votes, Consents, Registration, Overview and Read Me. The first seven are registers with 200 empty input rows each and validation lists where relevant. In total, the workbook contains 1,427 formula cells. Example: if a notice to the second meeting is registered as sent on or before the first meeting's date, STOP is displayed. If a proposal has been submitted but lacks a verified registration date, NOT REGISTERED – DO NOT IMPLEMENT is displayed.
Important: Excel does not calculate or approve legal majorities, notice periods, voting rights, consent or Bolagsverket registration. An administratively complete row cannot be used as proof that the decision is valid.
How you change bylaws in a housing cooperative
- Retrieve registered bylaws: check the association's current wording, own amendment requirements and any special permissions.
- Formulate a version-specific proposal: compare each paragraph and attach the complete new bylaw text. Assess whether the proposal affects the calculation bases for annual fees, the right to remaining assets or transfer opportunities.
- Call the first meeting: state the main meaning of the bylaw proposal in the notice and make the entire proposal available. Follow the law and registered bylaws for time and form.
- Document the first decision: preserve the actually decided wording, vote outcome, voting list and adjusted meeting minutes.
- Call the second meeting: the notice may be sent only after the first meeting has been held; state its decision and normally handle the same text. An amended text may require a new decision process. A new wording may need to be treated as a first decision again.
- Test the correct majority and special consents: at least two-thirds is only the usual threshold at the second meeting, not universal for all changes.
- Register with Bolagsverket: submit the decision immediately and attach the prescribed documents. Wait for actual registration before the amendment is implemented.
Legal requirements for bylaw amendment
Are two association meetings always required?
Not if all voting members in the association agree. Otherwise, two consecutive association meetings are required as a general rule. The first must make an actual decision, normally with a simple majority; the second normally requires at least two-thirds of those voting. See the Housing Cooperative Act, Chapter 9, Section 25 and the Act on Economic Associations, Chapter 6, Section 33.
When is a three-quarters majority required?
If the bylaw amendment concerns the grounds for how annual fees are calculated, the Housing Cooperative Act, Chapter 9, Section 23 requires at least three-quarters of those voting at the later meeting. Distinguish between the calculation grounds themselves and a continuing decision on a fee amount.
When is unanimity or special consent required?
If the right to the association's retained assets upon dissolution is restricted, all those voting at the later meeting must vote yes. Restriction of the right to transfer the housing cooperative or a reservation according to the Housing Cooperative Act, Chapter 6, Section 9 requires consent from all housing cooperative owners whose right is affected. In addition, any stricter amendment conditions in the bylaws apply according to the Housing Cooperative Act, Chapter 9, Section 24.
What notice period applies?
For bylaw amendment issues, the general rule is that the notice is sent at the earliest six and at the latest four weeks before the meeting. If it is expressly stated in already registered bylaws, two weeks may be the latest time. State the main meaning of the proposal and review the entire content of the notice. Bolagsverket clarifies that the second notice may not be issued before the first meeting. Bolagsverket's guidance.
Can the second meeting change the proposal?
A second meeting should normally confirm the first decision. If the new text is changed in substance, a new assessment of the decision sequence is required; a new wording may need to be treated as a first decision again. Also read Bostadsrätterna's overview.
When do the new bylaws come into effect?
The decision must be submitted for registration immediately. According to the Housing Cooperative Act, Chapter 9, Section 25, the decision may not be implemented until the registration has occurred. A submitted application or receipt of receipt is not the same as registration. The actual date of registration must be documented.
Common questions about BRF bylaw amendment
Must a bylaw amendment be decided at the ordinary annual meeting?
No, normally one or both meetings can be extraordinary association meetings, if the law and bylaws allow it. However, the number of decisions, notices and their content are decisive.
Is it enough for two-thirds to vote yes at a single meeting?
No. Without the unanimity of all voting members, two consecutive meetings are normally required. Two-thirds is normally the threshold of the later meeting.
Does the association need to send the entire new bylaws to Bolagsverket?
Yes, the association must submit the complete new bylaw text and relevant minutes according to Bolagsverket's instructions. Only a summary is not the same as the new bylaws.
Is automatic approval of majority and consent included?
No. Excel only provides administrative status warnings; legal majority and consent requirements require separate legal review.
Is a ready legally approved new bylaw included?
No. The package contains editable proposal and decision templates, not ready bylaws specifically reviewed for your association.
Can I use the templates for a non-profit association?
No, choose a template adapted for a non-profit association, where other rules and bylaw conditions may apply.
Are the PDF files fillable?
The PDF versions are searchable and printable, not interactive forms. Edit the originals in Word.
