About this template
Dissolution and winding up of a non-profit association – Word, PDF and Excel templates
Is a non-profit association being dissolved? This document package provides the board or the person responsible for the winding-up process with a coherent workflow: checking the bylaws, preparing the dissolution resolution, minutes template, winding-up plan and final deregistration check. The files are delivered directly as editable Word templates, searchable PDF documents and an Excel register.
Scope: The package applies to the voluntary dissolution of a Swedish non-profit association, not an economic association or housing cooperative. Dissolution requires compliance with the association's own bylaws. There are no general majority requirements or standard procedures that apply to all non-profit associations. In cases of insolvency, serious disputes or specially restricted assets, a more in-depth assessment is required.
01. Package contents
15 digital files: five Swedish working documents, one Swedish user guide and one English User Guide. All seven documents are provided in both editable Word (DOCX) and searchable PDF formats. The package also includes an Excel workbook (XLSX) with nine tabs. The PDF files are print-friendly but do not contain interactive fillable fields.
02. What the files contain
Bylaw and authority check, notice and draft resolution, minutes template for the actual dissolution resolution, winding-up plan for assets, liabilities and contracts, and final reporting before deregistration. Excel helps track meetings, resolutions, financial items, contracts and regulatory steps – without automatically determining whether a dissolution is legally valid.

Excel – nine tabs
The workbook contains Overview, Bylaw Check, Meetings, Resolutions, Assets, Liabilities, Contracts, Deregistration and Read Me. The Overview tab compiles registered items and amounts using Excel formulas. The remaining balance of liabilities is calculated based on the registered liability amount minus registered payments. A balance of zero does not automatically mean that all obligations have been identified, settled or verified.
How to dissolve a non-profit association step by step
- Check the bylaws. Read the provisions on dissolution, meeting notices, majority, the number of meetings and the disposal of remaining assets.
- Prepare the correct resolution. Call the authorized body according to the bylaws and allow the members to review the proposal and supporting documentation.
- Document the actual resolution. Use the minutes template for the actual meeting minutes. Any requirement for multiple meetings must be met.
- Wind up the operations. Pay liabilities, terminate contracts, inventory assets and check the terms of grants and donations.
- Complete final reporting. Check in particular that no assets or liabilities remain and that any surplus has been disposed of according to the bylaws and binding terms.
- Deregister. Once the association is actually dissolved, the organization number can be deregistered with the Swedish Tax Agency using the agency's SKV 2021 form. When registering with the Swedish Companies Registration Office, form 934 may also be required. Handle any tax registrations separately.
Important legal requirements
The Swedish Tax Agency states that the association must be dissolved and have no assets or liabilities before it can be deregistered. The association's bylaws determine how the dissolution resolution must be passed. Verksamt, for example, states that some associations require two meetings. The Swedish Companies Registration Office has a separate deregistration procedure for non-profit associations registered there. It is important not to confuse this with the liquidation rules for economic associations.
Frequently asked questions about dissolving a non-profit association
How do you dissolve a non-profit association?
Follow the association's current bylaws, pass the resolution in the correct order, document the resolution and close the finances and contracts. Deregistration takes place after the dissolution itself.
Must the dissolution be resolved at two meetings?
Not always. It depends on what the association's bylaws actually require. The package includes specific control fields for more than one meeting.
What majority is required to dissolve the association?
There is no general percentage that applies to all non-profit associations. Check the exact majority requirement in the current bylaws and any special rules.
What happens to the money when the association is dissolved?
Liabilities and other obligations must be settled first. Remaining assets must be disposed of according to the bylaws and binding grant or donation terms – not automatically divided among the members.
How do you deregister an organization number?
A dissolved non-profit association with no assets or liabilities uses the Swedish Tax Agency's official SKV 2021 form. The form is obtained from the agency and is not included as an official form in this package.
Must the Swedish Companies Registration Office be contacted?
If the non-profit association is registered with the Swedish Companies Registration Office, deregistration there is normally required using form 934. This does not automatically apply to all non-profit associations.
How are F-tax, VAT and employer registration handled?
If such registrations exist, they must be handled separately according to the Swedish Tax Agency's current instructions and any tax return and payment obligations.
What do we do if the association cannot pay its liabilities?
Then it is not a standard debt-free winding-up case. Investigate the insolvency situation and applicable alternatives before submitting any deregistration information.
Are the templates in English?
The five working documents are in Swedish. An English User Guide is included to help explain the process, but it is not an English version of the Swedish templates.
