About this template

B2B Delivery Agreement – template for continuous goods deliveries, orders, and delivery control

Does your company need an editable delivery agreement between businesses that is genuinely useful from the first order through to delivery receipt, claims, and change orders? This package distinguishes between agreed delivery terms, binding orders, actual goods receipt, and verified rectifications. It makes it easier to document responsibilities, delivery times, prices, quality requirements, delays, and defects for recurring B2B goods purchases.

The delivery consists of 15 files: 7 Word (DOCX), 7 corresponding searchable A4-PDFs, and 1 Excel (XLSX) with nine functional tabs. Five Swedish work templates, a Swedish user guide, and a separate English User Guide. The documents are based on Swedish sales law and serve as a basis for negotiation, not as a finished approval of any specific transaction.

01. Package contents

  • 7 editable Word (DOCX): five main Swedish documents, Swedish user guide, English User Guide.
  • 7 searchable PDF: corresponding A4 versions for printing and documentation.
  • 1 Excel (XLSX): nine tabs, input fields, filters, status lists, order value, summary of approved delivered quantities, and a tracking dashboard.
  • Delivery: digital ZIP after purchase once the file is attached and verified in Digital Products.
  • Version 1.0 – 2026/2027. Source review: October 18, 2026. The year 2027 is a release designation, not a guarantee of future legislative changes.

Each Word and PDF document features two separately framed information boxes describing the package and the function of the files.

What should a delivery agreement between businesses contain?

A clear B2B delivery agreement should state parties, product specifications, ordering process, delivery and quality requirements, delivery date, handover, transfer of risk, prices, payment, handling of delays, claims, rectifications, and termination of the agreement. It is especially important to distinguish a binding delivery promise from a preliminary forecast and to specify which document prevails if the order and the framework agreement contain conflicting terms.

According to the Swedish Sale of Goods Act (1990:931), Section 3, the Act applies to a large extent unless the parties have agreed otherwise or if otherwise established by trade usage or industry practice. Provisions on delay can be found in Section 22, examination of goods in Section 31, and claims in Section 32. The terms of the agreement must be negotiated and adapted to the actual business transaction.

Delivery terms and Incoterms® 2020

When the parties wish to use Incoterms® 2020, the correct three-letter rule, named place, and version must be explicitly stated in the agreement or order. The choice affects the allocation of delivery responsibility, costs, and risk. However, Incoterms® do not automatically regulate ownership, payment terms, or all consequences of breach of contract. ICC's official guidance on Incoterms.

Excel with nine practical tabs

Overview, Agreements, Orders, Deliveries, Inspections, Non-conformances, Changes, Source Data, and Read Me. The workbook contains formulas for order value (ordered quantity times price), summary of approved delivered units per order ID, remaining quantity, and deviating quantities. The formulas are tested with temporary input data that is not included in the empty delivery.

There are separate fields for actual received quantities and quantities approved after inspection. Statuses such as planned, under negotiation, approved, and closed – verified are entered manually. An Excel value is neither a binding order acceptance, a legally secured delay, nor an approval of a claim.

How to use the delivery agreement template

  1. Define the scope: ensure the template suits recurring goods purchases between traders and not a consumer purchase or a service-oriented construction contract.
  2. Check counterparties and authority: names, corporate registration numbers, signatories, and agreed document hierarchy.
  3. Negotiate the delivery agreement: specification, order process, price, payment, delivery location, handover, risk, and any limitation of liability.
  4. Confirm the order: use Annex 02 for date, quantity, article, price, recipient, and any named delivery clause.
  5. Document the receipt: note actual received quantities, visible damages, and completed inspection using file 03.
  6. Handle non-conformances in writing: document discovery date, claim, evidence, parties' positions, and any agreed measures in file 04.
  7. Make decisions about changes: use file 05 so that proposed changes are not confused with accepted order terms.
  8. Follow up in Excel: link the same agreement, order, and delivery ID to each entry and close actions only after actual inspection.

Important limitations and legal precautions

A delivery receipt does not automatically mean final approval of all latent defects. The Sales of Goods Act's provisions regarding examination and claims, as well as any valid agreements, must be assessed for each defect. Automatic penalties, damages, deadlines, and liability caps should not be copied without explicit choices and legal review. For regulated products, international business, or significant delivery risks, customs, export control, product regulation, sanctions, and insurance must be reviewed separately.

Frequently asked questions

What is the difference between a delivery agreement and a supplier agreement?

Supplier agreements can govern a long-term partnership on a broad level. This delivery agreement focuses on goods, specific orders, delivery occasions, receipt, and documented non-conformances.

Is the Sale of Goods Act mandatory between businesses?

The Sale of Goods Act is to a large extent dispositive according to Section 3. However, terms must be clear, and other applicable rules may affect the transaction.

Are order and delivery schedules included in Excel?

Yes. The workbook has separate tabs for agreements, orders, deliveries, inspections, non-conformances, changes, and source data with a formula-based overview.

Can I use Incoterms® 2020 in the delivery agreement?

Yes, if the parties have explicitly agreed on a specific rule, named place, and version. The template package does not reproduce the full copyright-protected rules.

Can the template be used for consumer purchases?

No. It is intended for B2B purchases of goods and should not be confused with the mandatory protections of the Consumer Sales Act.

Are the agreements fully translated into English?

The five work templates are in Swedish. There is a Swedish and an English user guide, but no English agreement versions.
