About this template
Breach of contract and demand for remedy – template for B2B agreements
Has a delivery failed to arrive, a task not been completed according to the agreement, or has a contracting party pointed out a deficiency? With this template package, you can document a breach of contract between companies, send a complaint or demand for remedy, respond to claims, and follow up on an agreed-upon measure. You receive five main Swedish templates, two user guides, and an Excel register with nine tabs.
The package covers B2B agreements such as deliveries of goods and service assignments. It is not a general declaration of rescission, a formal debt collection claim, or a document intended for employment law notices, residential leases, or consumer disputes.

From alleged contractual deviation to controlled remedy
1. Document what actually happened
Start with the signed agreement and its appendices. Identify exactly what performance was agreed upon, what event occurred, how it can be proven, and what the counterparty has already been notified of. In document 01, distinguish objective facts from yet-unproven claims.
2. Send a complaint or demand for remedy
Document 02 helps you formulate a precise complaint and a potential demand for remedy. Always check complaint deadlines, contract terms, and remediation options before sending. For the purchase of goods, the Sale of Goods Act (1990:931), including Section 32 on complaints, may be relevant. However, these rules should not be mechanically applied to a service agreement.
3. Respond to and investigate objections
Document 03 is used by the counterparty to distinguish circumstances that are admitted from those that are contested. A confirmation of a received letter is not the same as an admission of a breach of contract. Therefore, there are specific fields for evidence and questions that require supplementation.
4. Make a mutual remedy agreement
If the parties are in agreement, document 04 can be used to establish measures, responsibilities, a timeline, delivery criteria, and a verification method. An agreement on remedy does not automatically waive damage claims or final settlement of the dispute. If this is the intention, it must be explicitly considered and documented.
5. Verify the remedy
Document 05 serves as a verification protocol. It shows what has actually been delivered, whether deficiencies remain, and what documents support the assessment. A measure marked as completed is not necessarily verified or legally approved.
Excel register – nine tabs for agreements, complaints, and finance
Overview · Agreements · Deviations · Complaints · Remedy plan · Documentation · Follow-up · Finance · Read me. With the help of individual ID numbers, agreements, deviations, notices, and measures can be tracked over time. The overview counts registered agreements, deviations, and measure statuses based on actually completed rows.
The finance tab makes an important distinction between requested amount, agreed amount, and registered payment. Any remaining agreed amount is calculated without automatically establishing an unproven claim or damages. Excel does not determine the right to rescission, price reduction, late payment interest, or damages.
How to use the document package
- Retrieve the original agreement, appendices, amendment agreements, and any general terms.
- Check the agreement type, applicable law, complaint deadlines, and notice clauses.
- Register actual deviations and evidence in Excel and document 01.
- If necessary, select document 02 for a concrete and legally controlled demand for remedy.
- Document the counterparty's response with document 03 and any additions.
- If the parties agree, draft document 04 with specified measures and signatures.
- Follow up on actual delivery with document 05 and change the status only after verification.
Important legal limitations
There is no general legal rule that every breach of contract automatically grants a right to rescission after a certain number of days. The ability to demand remedy or use other sanctions depends on the agreement, the nature of the agreement, the circumstances, and applicable legislation. The Sale of Goods Act contains, among other things, specific rules on complaints and rescission for the purchase of goods. Claims regarding service agreements must be assessed separately.
The Interest Act (1975:635) regulates certain monetary claims and late payment interest, but an alleged damage claim does not automatically become established or due through a sent letter. Formal debt collection, applications for a payment order, termination, and rescission are outside the scope of the package's ready-made main templates.
Related document templates
To establish an assignment from the start, there is Consultancy Agreement – General Template and Agreement for Services B2B. For purely unpaid invoices, Demand Letter and Payment Reminder may be more relevant. In the case of an agreed final settlement, there is also Settlement Agreement. These documents have different legal purposes.
Frequently asked questions about breach of contract
Are a demand for remedy and rescission the same thing?
No. A demand for remedy normally describes a problem and requests action. Rescission is a specific legal act with its own prerequisites.
How long of a remedy deadline should I write?
It depends on your agreement, the type of agreement, and the circumstances. The package does not specify a universal deadline claimed to be statutorily required.
Does the Sale of Goods Act apply to all service agreements?
No. The Sale of Goods Act is primarily designed for the purchase of goods. Service agreements must be assessed based on their own terms and applicable legal rules.
Can I automatically claim damages once the deviation is documented?
No. The basis, scope, and any liability limitations need to be assessed separately. Excel is only an administrative aid.
Is a debt collection claim included?
No. This package concerns performance and remedy regarding commercial contractual deviations. Formal debt collection claims and applications for payment orders are not covered.
Are the templates available in English?
The five main templates are in Swedish. An English User Guide explains the use, but does not translate the main templates themselves.
