Purchase Agreement for Tractor & Construction Machinery 2026/2027

Which transactions is this package suitable for?

Private individual, company, or consumer – choose the right framework

The Sale of Goods Act applies to the purchase of personal property and is normally used when a private individual buys from a private individual or when a company trades with a company, unless the parties have agreed otherwise. The Sale of Goods Act is dispositive, meaning that the agreement can to a large extent determine what should apply.

When a trader sells a machine to a consumer, the Consumer Sales Act applies instead. This also applies to used machines. Mandatory consumer law cannot be contracted away to the detriment of the consumer. Therefore, the main agreement includes a clear selection box for the type of purchase and specific warnings where clauses may need to yield to the Consumer Sales Act.

Proper identification of the machine

For expensive machines, make and model are not enough. The package therefore includes fields for:

  • serial number, PIN, or chassis number,
  • registration number,
  • model year and manufacturing year,
  • operating hours and kilometers,
  • engine and transmission details,
  • drivetrain, tires/tracks, and quick coupler,
  • hydraulics and extra outlets,
  • previous usage and service history.

Inspection and condition report

The three-page inspection report helps the parties document the machine's actual condition before the purchase. It contains checkpoints for, among other things:

  • cold and warm starts,
  • engine noise, smoke, and warning lights,
  • oil and coolant leaks,
  • transmission and drivetrain,
  • hydraulics, cylinders, and hoses,
  • steering, brakes, and undercarriage,
  • tires, tracks, bearings, joints, and bushings,
  • frame, boom, chassis, and cracks,
  • electronics, instruments, and error codes,
  • cab, seatbelt, mirrors, and safety features,
  • function test under load,
  • known defects and upcoming service needs,
  • photo documentation.

Buyer's duty of investigation under the Sale of Goods Act

In private and B2B purchases, investigation is important. If the buyer has examined the machine, or waived the right to do so without an acceptable reason following the seller's request, the buyer normally cannot later claim defects that should have been discovered during an inspection. Therefore, the inspection report is a central part of the package.

"As is" is not an absolute disclaimer

The main agreement has an optional "as is" clause, but simultaneously explains its limitations. Even an item sold "as is" can be considered defective under the Sale of Goods Act if, for example, it does not match the seller's representations, the seller failed to inform the buyer of a significant known fact, or the item is in significantly worse condition than the buyer could reasonably have expected.

In consumer purchases, the mandatory rules of the Consumer Sales Act take precedence over such a clause.

Financing, leasing, and third-party rights

The package includes explicit checks for:

  • leasing,
  • installment plans,
  • retention of title,
  • pledges or other security interests,
  • other third-party rights to the machine.

This reduces the risk of the buyer paying for a machine that the seller is not free to transfer.

Registered tractor – specific change of ownership procedure

The Swedish Transport Agency has specific rules for tractors. A change of ownership for a tractor, including an A-tractor, must be reported on the most recently issued registration certificate part 2 and sent to the Swedish Transport Agency. For tractors, the usage must also be described so that the Transport Agency can assess how the vehicle should be taxed.

The package's change of ownership receipt and checklist therefore have special fields for:

  • registration certificate part 2,
  • date of transfer of ownership,
  • description of usage for tractor,
  • registration status,
  • temporary de-registration/re-registration and inspection data.

Motorized equipment

Motorized equipment class I must be registered and has a registration plate. Motorized equipment class II may need to be registered depending on how it is used. The package therefore includes options for both registered and unregistered machines and provides a reminder to check the actual vehicle status before the transaction.

Check vehicle-related debts

When purchasing a registered machine or tractor, the buyer should check if there are any vehicle-related debts or usage bans. A usage ban may remain in effect after a change of ownership, even when a previous owner is the one liable for payment.

The checklist therefore includes specific checkpoints for:

  • vehicle tax,
  • usage bans,
  • inspection status,
  • de-registration or re-registration status,
  • vehicle-related debts.

Price, VAT, and payment

The main agreement distinguishes between prices including VAT, prices excluding VAT, and situations where VAT is not applicable. There are also fields for down payment, final payment, financing, payment date, and when ownership is to transfer.

Delivery and transport

Large machines often require separate transport. The agreement therefore has clear options for:

  • delivery date and delivery location,
  • who arranges transport,
  • who pays the transport costs,
  • when the risk for the machine transfers,
  • final receipt upon delivery.

Equipment and accessories

The separate machine appendix documents exactly which equipment is included. This could be, for example, buckets, forks, tilt rotators, spare wheels, tires, tracks, quick couplers, GPS, keys, or spare parts. Serial numbers and condition can be specified for each piece of equipment.

Documentation that should accompany the sale

The appendix and checklist help the parties review:

  • registration documents,
  • instruction manuals and operator manuals,
  • service books and service invoices,
  • CE marking/declaration of conformity where available,
  • spare parts catalogs, electrical and hydraulic schematics,
  • inspection or control reports,
  • warranty documents.

Delivery and payment receipt

The two-page receipt is used when the machine is actually handed over. It documents, among other things:

  • final payment,
  • operating hours and kilometers at delivery,
  • number of keys,
  • agreed-upon equipment and documents,
  • change of ownership document,
  • tractor usage description,
  • any remaining discrepancies.

Checklist for the entire transaction

The package contains a separate two-page checklist for both the buyer and the seller. It covers the transaction before the contract, upon signing, and at delivery, and also highlights typical red flags such as unclear identity, deviating serial numbers, unclear financing, usage bans, skipped test drives, and undocumented major damage.
