About the Finder's fee agreement
A Finder helps a company get in touch with a potential business partner. When a pre-defined, written, and approved introduction leads to a qualified business deal and the agreed-upon earning event occurs, the Finder may be entitled to a performance-based fee.
The package is particularly useful for consultants, growth companies, sales partners, business executives, and other independent businesses that generate new B2B contacts without acting as a proxy or ongoing commercial agent.

Key contractual issues that the template helps you regulate
- Approved introduction: Who is allowed to suggest a business contact, when should it be approved, and how to avoid double commission for already known clients?
- Qualified business deal: What specific business event is required, and what connection should exist between the introduction and the client contract?
- Performance-based compensation: Choose a percentage of received net payments or a fixed fee. You set the percentage, amount limit, and other terms yourself.
- Subsequent business: Define the revenue period and any protection period after the main agreement has terminated.
- Accounting and invoicing: Document customer payments, credit notes, settlement, and already invoiced commission.
- Responsibility and compliance: Authorized signatory, personal data, marketing, confidentiality, conflicts of interest, and Swedish law.
How to use the template package

- Choose a commission model and fill in the calculation basis, protection period, and payment terms.
- Review the separate guide and check all selections before signing.
- Use the introduction confirmation for every proposed business contact.
- Register accepted introductions, signed deals, and actual received payments in Excel.
- Reconcile the preliminary commission against the agreement before invoicing and archive the documentation.
Practical example of commission
A company approves an introduction. The client signs a contract and pays 100,000 SEK excluding VAT. A subsequent credit note amounts to 10,000 SEK. With an agreed percentage of 5%, the preliminary net base becomes 90,000 SEK and the commission 4,500 SEK excluding any VAT – provided all contractual terms are met.
Common mistakes
Avoid oral promises of success fees without written terms, unclear compensation triggers, double introductions, commission on unpaid invoices despite cash terms, unlimited revenue periods, and treating an internal contact referral incorrectly as a non-regulated brokerage assignment.
Important legal limitations
The document is designed for limited commercial introduction assignments between businesses. It is not an agreement for real estate brokerage, securities brokerage, insurance or credit brokerage, nor is it a substitute for a proper commercial agency agreement. If the Finder in reality works continuously with the sale or purchase of goods, the Commercial Agency Act (1991:351) may be applicable regardless of the agreement's title.
The agreement does not establish a statutory standard fee. Amounts, payment terms, VAT, and any international tax issues need to be adapted to the parties. Processing of contact information must have a legal basis, and any direct marketing must follow specific rules. For large or cross-border transactions, individual review by a lawyer and an accountant is recommended.

Frequently asked questions
What is a Finder's fee agreement?
An agreement that regulates compensation for a pre-defined business introduction that leads to an agreed-upon business event.
Is a Finder's fee the same thing as agent commission?
Not necessarily. The decisive factor is the actual content of the assignment. Ongoing commercial agency may be covered by special legal rules.
Is an English version included?
Yes. The package includes both an English agreement and an English introduction confirmation, as well as an English-language guide. The documents are based on Swedish law.
What does the Excel sheet calculate?
The workbook compiles introductions, actually received payments, credit notes, and preliminary earned versus remaining commission. It does not determine itself if there is a legal right to compensation.
Can the template be used for real estate brokerage?
No. The template is not intended for real estate brokerage or other areas with special qualification and licensing requirements.
Can I edit the content?
Yes, all six text documents are in editable Word format with a corresponding PDF.
