How to draw up a promissory note without amortization

  1. Identify the borrower and lender.
  2. Choose a model: fixed due date or repayment on demand.
  3. Specify the loan amount and verified actual disbursement.
  4. Determine whether the agreed credit interest rate should be 0% or a specific rate.
  5. Regulate repayment, any early payment, and receipt.
  6. Distinguish between agreed credit interest and any default interest.
  7. Check if consumer credit regulations and other specific laws are applicable.
  8. Sign all relevant documents.
  9. Make ongoing notes of actual payments in Excel.
  10. Issue a final receipt only when the entire debt is truly settled.

What does Swedish law say?

The Promissory Notes Act – fixed due date or on demand

According to Section 5 of the Promissory Notes Act (1936:81), a debt without an agreed maturity date must be paid when the creditor demands it; the debtor may also pay earlier. This differs from a debt with a pre-agreed final due date.

The Interest Act – different rules before and after maturity

Interest during the loan period must be distinguished from default interest. The Interest Act (1975:635) contains, among other things, different rules for late payment depending on whether the due date is determined in advance. The reference rate changes over time and should not be hard-coded in the template.

Prescription

The Prescription Act (1981:130) contains a general ten-year rule, exceptions, and rules for interrupting the prescription period. Do not use an automatic date in Excel alone to determine if a claim still exists.

New Consumer Credit Act from November 20, 2026

The Consumer Credit Act (2026:1011) replaces the older Consumer Credit Act on November 20, 2026, with specific transitional provisions. Professional credit providers need to check their own applicable regulations; the private loan documents in this package are not a substitute for complete consumer credit agreements.

Frequently asked questions about promissory notes without amortization

Is amortization-free the same as interest-free?

No. Amortization is the repayment of the principal itself. Interest is the cost of borrowing. The template package keeps these terms separate.

When should the debt be repaid?

On a fixed due date, the remaining debt is paid on that day. If no due date has been agreed upon, payment is generally due upon demand in accordance with Section 5 of the Promissory Notes Act.

Is a template without amortization an agreement never to repay?

No. Even when ongoing principal amortization is not required, the loan must be repaid according to the agreement or applicable law.

Can one agree on 0% interest?

For a one-off private loan, the agreed credit interest rate can be zero. That does not mean that default interest can never become applicable.

Does Excel calculate legally correct default interest?

No. The simple interest calculation is indicative and disregards, among other things, partial payments and legal claims. Default interest must be checked separately.

Does the package work for banks and companies providing consumer credit?

No, not as a complete product. Professional consumer credit lending is specifically regulated, and the new Consumer Credit Act (2026:1011) takes effect on November 20, 2026.

Are complete English promissory notes included?

No. The main documents are in Swedish. The package contains an English User Guide for support.

Is the agreement legally approved by a government agency?

No. It is an editable working draft with an editorial source review, not a government form or a document certified by an outside lawyer.
