Om dokumentmallen
Notice of Annual General Meeting (AGM) – English Word/PDF template governed by Swedish law. Prepare a clear notice for shareholders of a Swedish private limited company (privat aktiebolag) with a numbered agenda, proposed resolutions, participation requirements and practical instructions for issuing and documenting the notice. The revised 2027 package includes an English main notice, English issue checklist and dispatch log, English user guide, and matching Swedish reference documents.
What is “kallelse” in English?
The general English word for kallelse is invitation or notice, depending on the setting. For a formal shareholder meeting in a Swedish limited company, kallelse till årsstämma is Notice of Annual General Meeting (AGM). Bolagsstämma means general meeting of shareholders. A routine meeting invitation is not necessarily a legally adequate AGM notice.
Need an English meeting notice template for a Swedish AB? This product provides an English-first AGM notice with Swedish-language references, a numbered agenda and a dispatch checklist. The notice must follow the company's bolagsordning and the Swedish Companies Act, not UK meeting notice rules. For a Swedish-language version, see our Swedish AGM notice template.
For applicable notice periods and issuing methods, see Bolagsverket – Kallelse till bolagsstämma.
Important distinction: English is the language of the template. This is not a form for a British private limited company, and the UK Companies Act 2006 or its meeting-notice periods do not govern a Swedish AB. Check the Swedish Companies Act (2005:551), particularly Chapter 7, and the company's registered articles of association (bolagsordning).
Primary legal framework: Chapter 7, Sections 2, 10–11, 15, 17–18 and 23–26 of the Swedish Companies Act (2005:551). This is a flexible drafting package rather than legal approval of an individual notice. Public and listed companies, exceptional resolutions and special meeting types may require different procedures.

When must a Swedish AGM notice be issued?
Chapter 7, Section 18 provides that notice of the annual general meeting must normally be issued no earlier than six weeks and no later than four weeks before the meeting. The registered articles of association of a private limited company may allow a shorter notice period, but the notice must still be issued at least two weeks before the meeting. This exception does not apply to public limited companies.
A statement such as “an English AGM notice requires 21 days” is therefore not an accurate statement of Swedish company law. Compute the notice window using the actual AGM date, whether the company is private or public and the articles currently in force.
When must the AGM itself take place?
Under Chapter 7, Section 10, the ordinary AGM must be held within six months after the financial year ends. For a company using the calendar year as its financial year, this normally means holding the AGM by 30 June of the following year. Financial statements filing has a separate timetable.
Who issues the notice and how must it be sent?
The board of directors issues the notice under Section 17. Section 23 requires notices to be issued in the manner specified in the articles of association. Depending on the company's articles, this may involve a specific postal, advertisement or electronic publication method. Ordinary email does not automatically substitute for a legally prescribed channel.
Section 23 can require additional individual postal notice to shareholders with known postal addresses, for example if the ordinary meeting is to be held at a time other than that stated in the articles, or where certain special matters will be considered. The board should verify whether such requirements apply before sending the notice.
What information must an AGM notice contain?
Under Chapter 7, Section 24, the notice should identify the time and place of the meeting, any lawful participation requirements under Section 2, a clearly numbered proposed agenda, and the substance of material resolutions. For digital meetings, it must give adequate instructions on how shareholders can participate. Special corporate actions can trigger further statutory disclosure requirements.
The English main form has editable fields for the company name and Swedish organisation number, AGM date and time, place or digital meeting details, lawful advance registration, proxy participation, shareholders' rights and the relevant board proposals.
Proposed AGM agenda – 14 typical items
- Opening of the AGM.
- Election of the chair of the meeting.
- Preparation and approval of the voting list.
- Approval of the agenda.
- Election of person(s) to verify the meeting minutes.
- Determination that the meeting was duly convened.
- Presentation of the annual financial statements and audit report, if the company has an auditor.
- Resolution to adopt the income statement and balance sheet.
- Resolution on allocation of profit or loss in accordance with the adopted balance sheet.
- Resolution on discharge from liability for the directors and any managing director.
- Resolutions on board and auditor remuneration where applicable.
- Election of directors, deputies and any auditor, where required.
- Other specifically notified business and resolutions.
- Closing of the meeting.
The mandatory core decisions arise from Chapter 7, Section 11. Board elections, remuneration and other matters must be handled according to the company's actual circumstances and articles. A generic “other business” line cannot be relied upon to pass material resolutions that should have been stated in the notice.
When must annual financial statements be available?
Under Chapter 7, Section 25, the company must keep the annual financial statements and any applicable audit report available at the company for shareholders during at least the two weeks immediately before the AGM. Copies requested by shareholders who provide a postal address must be sent without delay and free of charge. These documents must also be presented at the AGM.
The user guide distinguishes document availability, notice issue dates and the later filing of the signed annual financial statements. These are not interchangeable deadlines.
Physical, fully digital and hybrid meetings
Under Section 15, a Swedish general meeting normally takes place in the locality where the board has its registered office unless the articles specify another Swedish location or allow a fully digital meeting. A completely digital AGM is permitted where the articles provide for it or extraordinary circumstances require it. A hybrid meeting has a physical venue with digital participation and is a different arrangement.
When using a digital format, include real joining instructions, identification arrangements and voting procedures in the notice. Merely referring shareholders to a company homepage may not suffice. Remove unused options in the template before issue. Bolagsverket explains the requirements for digital AGMs.
Who may participate through a proxy?
A shareholder may generally be represented by a proxy within the statutory framework. Confirm the representative's authority, any lawful advance registration and the company-specific procedures. Avoid adding conditions for participation that the law or articles do not support.
How to complete the English Word template
- Confirm the company is Swedish and private. Do not use the template under UK corporate law or automatically for a public/listed company.
- Check the articles. Verify the method of notice, place, permitted registration conditions and whether the two-week exception is expressly allowed.
- Set the AGM date. Confirm it is within six months of the financial year end and calculate the earliest and latest notice dates.
- Complete shareholder information. Insert the meeting time, venue, company name, organisation number and participation details.
- Tailor the agenda. Include only genuinely relevant resolutions and describe material proposals, such as a proposed dividend, as required by law.
- Check supporting documents. Ensure the financial statements, audit report (if any) and special resolution documents can be obtained in time.
- Confirm electronic participation. Use the digital/hybrid sections only where the law and articles permit them.
- Issue the notice correctly. Publish or dispatch by the articles' mandatory channel(s), with any additional postal notice.
- Complete the English issue log. Keep dated versions, recipient details, postal records, publication screenshots and copies of the final notice.
- Document exceptions. If a deadline, method or notice-content requirement is missed, obtain company-law advice before the meeting proceeds.
Practical example for an English-speaking Swedish company
A Swedish private company has a 31 December year-end and plans to hold its AGM in June. Its board checks that the meeting will take place no later than six months after the year end, reviews the articles for the proper notice method and identifies the applicable notice period: normally four to six weeks before the meeting, or a later date only if the articles validly permit the minimum two weeks. The annual report must still be available during the statutory two-week period before the AGM.
Common mistakes to avoid
- Using the UK Companies Act 2006 notice rules for a Swedish private limited company merely because the document is in English.
- Assuming all Swedish companies must always give exactly four weeks' notice without reading their articles.
- Sending only an email where the articles prescribe a different notice method.
- Forgetting the statutory earliest issue date, the numbered agenda or material proposed resolutions.
- Omitting documents required to be made available before the meeting.
- Omitting genuine instructions for remote participation at a digital AGM.
- Failing to keep evidence that the notice was issued through the required channels.
Frequently asked questions
Is this a UK limited company AGM notice?
No. It is an English-language document for a Swedish aktiebolag, governed by the Swedish Companies Act. A UK Ltd requires a different, UK-law-specific notice.
What notice period applies in Sweden?
For a regular Swedish AGM, notice is generally issued between six and four weeks before the meeting. A private company may have an articles-based exception allowing notice as late as two weeks before the meeting.
Is English-language notice acceptable?
Swedish law and the company's articles still govern. Whether an English-only notice appropriately satisfies the company's language or communication needs must be assessed in context. A Swedish reference notice is provided in the package.
Can the AGM be held fully online?
Sometimes. The articles must generally permit a fully digital meeting, unless extraordinary circumstances justify it. Adequate participation and voting instructions are essential.
Does the company need an auditor to use the template?
No. A private company that lawfully has no auditor omits items and wording referring to an audit report or appointment of an auditor when inapplicable.
What happens if the AGM notice is defective?
Under Section 26, defects in notice or document-availability requirements can prevent decisions on affected matters unless the statutory conditions for proceeding are satisfied. Seek advice rather than assuming a defective notice is harmless.
Are both English and Swedish templates included?
Yes. There are three English-first documents and three Swedish references, each as Word and PDF, totalling twelve customer files in the revised ZIP.
Are the revised documents delivered automatically now?
Yes. The 2027 ZIP notice-of-annual-general-meeting-english-swedish-law-2027.zip is currently attached to the digital product alongside the original files. After purchase, check the download contents and adapt the documents to applicable Swedish rules and the company's articles.

Swedish AGM notice: practical legal guides
Before sending a notice, read our guide to Swedish AGM notices and notice periods and our annual general meeting checklist. For an ordinary meeting, Chapter 7, Section 18 of the Swedish Companies Act sets the general notice window, subject to the company's type, its articles of association and applicable exceptions. Do not apply UK or US corporate notice rules merely because the template is in English.
